RESOLUTION NO. 90-125
A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF SEWARD, ALASKA, AWARDING A CONTRACT FOR
PROFESSIONAL SERVICES TO PROVIDE COMPUTER
SERVICES FOR THE CITY OF SEWARD
WHEREAS, Dane Amos is retiring from the city as the city's
correctional supervisor effective October 31, 1990; and
WHEREAS, among the many services provided the city by Mr. Amos
has been maintenance and repair of the city's personal computers;
and
WHEREAS, there are no other city staff members capable of
filling the void which will be left upon Amos' retirement; and
WHEREAS, the growth in the number of personal computers within
the city has created the need for continued professional computer
services; and
WHEREAS, the

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF SEWARD, ALASKA, that:
Section 1. The City Manager is hereby authorized to execute
a professional services agreement (copy attached and incorporated
herein by reference) with Dane Amos to provide computer services to
the city of Seward during Fiscal Year 1991 for an amount not to
exceed $30,000.
Section 2. This resolution shall take effect immediately upon
its adoption.
PASSED AND APPROVED by the City Council of the city of Seward,
Alaska, this 8th day of October, 1990.

AGREEMENT FOR PROFESSIONAL SERVICES
This Agreement between the city of Seward, Alaska and Dane R. Amos ("Contractor") is
effective on the 1st day of November, 1990 through June 30, 1991 unless otherwise tenninated
as provided for.
This agreement is for professional computer services for the city of Seward, Alaska.
Agreement is not valid until it has been signed by all parties. Agreement may be terminated
a) immediately, for cause; b) by the city or contractor upon thirty (30) working days written
notice; and c) by mutual consent of both parties.
Article 1.
Summary of Services
1.1 The scope of work to be performed hereunder is more completely described in
Appendix "A" which is incorporated herein by reference.
Article 2.
Compensation
2.1 Contractor will be compensated at the rate of $40.00 per hour. Contractor shall
submit invoices detailing work performed biweekly with the city of Seward to make payment
within thirty (30) days of receipt of the invoice.
Article 3.
Insurance
3.1 It is understood by the Contractor that no City insurance coverages, including
Workers' Compensation, are extended to the Contractor while completing the terms of this
Agreement.
Article 4.
Hold Harmless Clause
4.1 The Contractor shall indemnify, defend, save and hold the city of Seward
harmless from any claim, lawsuit or liability allegedly arising from loss, damage or injury to
person(s) or property occurring in the course of the Contractor's provision of services with the
exception of events arising as the result of the City's sole negligence.
Article 5.
Independent Contractor
5.1 Except in those instances specifically provided for herein, the Contractor and any
of its agents and employees shall act in an independent capacity and not as agents of the city in
the performance of this Agreement.

Article 6.
Ownership of Work Products
6.1 Copyrighted applications and programming subroutines written specificially for
the City of Seward become the property of the City of Seward in perpetuity, with no further
claims by the author.
In witness whereof, the parties have executed this Agreement.

APPENDIX A
SCOPE OF WORK
Contractor shall provide professional computer services to the city of Seward upon the
request of the Finance Director or designee. The computer services are primarily for the city's
personal computers, however based on the capabilities of the contractor some services would
include the Finance Department computer (Digital Vax computer and accessories). Computer
services include but are not limited to the following:
1. Maintain, troubleshoot and repair city PC systems based on capability, ie: repair,
replace, and/or ship to service center, if necessary.
2. Recommend and implement a schedule for performing various preventive
maintenance procedures on PC's to protect data and system.
3. Manage city PC systems including system optimization, backup checks, maintain
software and data integrity.
4. Recommend and install PC software, hardware and accessories purchased by the
city for the PC's.
5. Train and assist city PC operators to operate their own PC's and use of software
in the performance of city tasks.
6. To provide necessary software and/or hardware adjuncts to provide for effective
solutions to user and/or system problems within the city's PC environment.
7. To provide assistance to the Finance department data processing technician in
operating the accounting computer system.
