RESOLUTION NO. 86-97
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
SEWARD, ALASKA, ADOPTING FORMS AND REGULATIONS FOR
THE USE OF THE SEWARD MARINE INDUSTRIAL CENTER
SHIPLIFT FACILITY
WHEREAS, pursuant to Article VI of Title 5 of the
Seward Municipal Code, the City Council has the authority to
adopt forms and set the terms and conditions necessary or
advisable for the granting of permits for operation or
occupancy of City facilities; and
WHEREAS, the City has in the past granted private firms
the privilege to use the shiplift facility of the City; and
WHEREAS, the City Council finds it in the public
interest to maximize use of the shiplift facility in order
to promote the marine economy within Seward; and
WHEREAS, in order to assure fair access to the fa-
cility, to promote its full utilization and protect the
public property, safety and welfare, the City Council finds
it necessary and in the public interest to set forth the
terms and conditions under which private operators might use
the facilities;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
THE CITY OF SEWARD, ALASKA, that:
Section 1. The terms and conditions for operation of
the Shiplift Facility at the Seward Marine Industrial Center
are set forth on the attached Exhibit A (tariff) and Exhibit
B (permit) which are incorporated by reference herein.
Section 2. This resolution and the attached Permit and
Tariff shall be filed where appropriate with the Federal
Maritime Commission.
Section 3. This resolution shall take effect immedi-
ately upon its adoption.

APfllICATION OF TARIFF
(a) General Application of the Tariff:
Rates, charges, rules and regulations provided in this tariff will
apply only to the use of the Seward Marine Industrial Center Sh1pl1ft
Platform. Such rates, charges, rules and regulations provided in this
tariff will apply only for the interim period from the effective date
of this tariff to the date of the completion of the transfer pit and
rail system currently under design and construction. Rates and charges
set forth in this tariff are applicable to all vessels using the Seward
Marine Industrial Center Shiplift Platform.
(b) Tariff Effective:
Rates, charges, rules and regulations named in this tariff and any
additions, revisions, or supplements thereto shall apply to any and all
ships using the Seward Marine Industrial Center Shiplift Platform.
This tariff will become effective immediatley upon filing with and
approval of the Federal Maritime Commission.
(c) Acceptance of Tariff:
Use of the Seward Marine Industrial Center Shipl1ft Platform shall be
deemed an acceptance of this tariff and the terms and conditions named
therein.

RATES NIl CiARGES
(a) Daily Rate:
The cost for using the Seward Marine Industrial Center Sh1pl1ft
Platform or any part thereof shall be TWO HUNDRED and NO/lOO ($200.00)
DOLLARS per day, or any part of a day. A day is a 24-hour period,
starting at 12:00 o'clock a.m. Daily charges shall continue until the
vessel has been released from the shiplift pl atform and all of the
platform has been cleared of all equipment and blocking, and it is
ready to receive another vessel.
(b) LenQth CharQe:
In addition, a charge of TEN and NO/lOO ($10.00) DOLLARS per foot of
vessel length shall be charged, based upon the overall length of the
vessel.

INSURAfCE
(a) Rates named in this tariff do not include insurance of any kind.
(b) Permits for the use of the Seward Marine Industrial Center
Shipl1ft Platform will not be effective until certain types and amounts
of insurance are purchased. Such types and amounts of insurance will
be designated in each interim use permit.
(c) No Permit Holder will be entitled to use the Seward Marine
Industrial Center Sh1plift Platform if the Permit Holder's insurance
policies required under the interim use permit are cancelled or have
lapsed for any reason.

RESPONSIBnm FOR COlLECTION
Nt> GUARANTEE OF PAYMENT
(a) Responsibility for charQes:
It is the responsibility of the user of the Seward Marine Industrial
Center Sh1pl1ft Pl atform to pay lift charges. The City will not
collect lift charges from the vessel owners.
(b) Time Period for Payment:
All charges will be payable by the user of the Seward Marine Industrial
Center Sh1pl1ft Platform within thirty (30) days of the release of the
vessel.
(c) Cancellation of Use:
The City reserves the right to cancel the use of the Seward Marine
Industrial Center Sh1pl1ft Platform when: (1) any Permit Holder is in
arrears in payment by thirty (30) days or more; (2) for convenience or
cause upon delivery of written notice to the Permit Holder thirty (30)
days prior to the date of intended termination; or (3) immediately, if
Permit Holder's operations pose a danger to the Sh1plift Facility or
are violations of state or federal permits, or if the insurance
policies required by the Interim Use Permit are cancelled or have
lapsed for any reason.

RESPONSIBILITY FOR PROPERTY DAMAGE AND CLEAN UP
(a) DamaQe:
Users of the Seward Marine Industrial Center Shiplift Platform who
damage the City of Seward port property will be responsible for cost of
repairs. Users will be billed for all expenses incurred for the repair
to the damaged property.
(b) Cleanup:
Should the user of the sh1plift facilities fail to clear the platform,
dock and breakwater of all supplies, equipment and stores upon
completion of work upon a vessel, the City may clear the area and bill
the Permit Holder for all expenses incurred.

APPLICABILITY OF USE PERMIT
(a) Users of the Seward Marine Industrial Center Shiplift Platform may
also be subject to provisions in addition to those set forth in this
Terminal Tariff. Users of the Seward Marine Industrial Center Sh1plift
Platform must abide by all rates, charges, rules and regulations set
forth in this Terminal Tariff, as well as all terms and conditions of
any use permit to which they are a party.

RULES GOVERNING OPERATION OF SHIPLIFT PLATFORM:
1. SCHEDULING:
a. All scheduling for the sh1pl1ft will be on a schedule in
the Harbormaster's office.

b. Permit Holder will schedule lifts at least forty-eight
(48) hours in advance. The City will attempt to meet the schedule in a
reasonable manner; however, the lift will be performed at such time as
the City, in its sole discretion, may elect, and return of a vessel to
the water shall similarly be accomplished at such time as the City, in
its sole discretion, may elect.

h. Applications for a lift must include the boat name,
length and estimated duration of the lift requested.

i. Permit Holder agrees that, under no circumstances, will
the City be liable to Permit Holder or others for any damage or loss
(including without limitation, business or other consequential damages)

by virtue of the scheduling of the lift, any delays in the operations,
or any failure to lift the vessel by virtue of equipment malfunction or
other cause.
2. TERM. This Permit will be effective on
and after compliance with all the provisions of Paragraph 5. This
Permit may be cancelled in accordance with the provisions of Paragraph
15, OR upon completion of the transfer pit. This Permit is subject to
any applicable approvals required by the Federal Maritime Commission
and is not intended to grant an exclusive preferential use of a public
facility.
3. CHARGES. Lifts will be charged for at the following rates:
a. Daily Rate. The cost for using the shiplift platform, or
any part thereof, shall be $200.00 a day, or any part of a day, per
vessel. A day is a 24-hour period starting at 12:00 a.m. Daily
charges shall continue until the vessel has been released from the
shipl1ft platform and all of the platform has been cleared of all
equipment and blocking, trash and debris, and it is ready to receive
another vessel.
b. length Cha~. In addition, a one-time charge of $10.00
per foot of vessel length shall be charged, based on the overall length
of the vesse 1.
4. PAYMENT. All charges will be payable by the Permit Holder
within thirty (30) days of the release of the vessel. NOTE: It is the
responsibility of the Permit Holder to pay lift charges; the City will
will not collect lift charges from customers of the Permit Holder. The
City may cancel this permit whenever any account payable to the City by
the Permit Holder is in arrears by thirty (30) days or more.
5. INTERRUPTIONS OF WORK. At the Harbormaster's discretion
vessels on the lift may be removed when it is in the public interest,
including such factors as:
a. The vessel under repair has extended beyond the lift
application time estimate, and other vessels have been scheduled.
b. other vessels have priority due to the nature of their
use, eg., Coast Guard or other life-safety equipment.
c. In an emergency situation where, in the opinion of the
Harbormaster, loss of property can be minimized by rescheduling.
It is agreed and understood that work is subject to interruption, when
in the public interest, and that the Permit Holder will bear the entire
risk of loss for such interruptions.

6. INSURANCE. This permit will not become effective until such
time as the City of Seward has received the following:
a. A policy or policies of insurance with the following
coverage limits:

2. Ships Repairers Legal

b. A determination by the City of Seward Insurance Broker
that the insurance offered by the Permit Holder is of such type and has
such provisions as will permit it to serve as the underlying coverage
for any City Excess Policy and an acknowledgement from that Broker that
the City Excess policy or policies will be in effect during operations
by the Permit Holder. NOTE TO PERMIT APPLICANT: This means that a
Binder for Insurance is probably NOT sufficient to obtain this permit.
You will need to coordinate your insurance coverages with the City's
broker.
c. All insurance policies shall provide for thirty (30)
days' notice of cancellation and/or material change to be sent to the
City. All insurance policies shall contain the following or equivalent
clauses:
(1) The City, its officers, employees and agents are
added as additional insureds as respects operations of the named
insured performed under the terms of the Interim Use Permit with the
City.
(2) It is agreed that any insurance maintained by the
City shall apply in excess of, and not contribute to, insurance
provided by this policy.
d. All of the required insurance policies shall provide that
the insurers waive their rights of subrogation against City and the
Permit Holder and their respective officers, servants, agents or
employees. Permit Holder further agrees to waive, and agrees to have
its insurers waive, any rights of subrogation with respect to deduc-
tibles under such policies and with respect to damage to equipment,
including the loss of the use thereof, whether insured or not.
e. Forms. The general liability endorsement, Ship Repairers
Legal Endorsement, and Workers' Compensation/Employers L 1abllity
Endorsement shall be in substantially the form of those forms attached
hereto as Exhibits A, Band C.

f. Default/Cancellation. This permit may be cancelled at
any time by the City and will automatically cancel, without notice from
the City, if the insurance policies required above are cancelled for
any reason.
7. INDEMNITY. The Permit Holder agrees to hold the City harmless
and to defend the City from all claims for personal injuries and/or
property damage of every kind and character relating to the Permit
Holder's use, or the use by Permit Holder's sub-lessees, agents,
customers or contractors, of the Sh1p11ft platform and other City
facilities.
8. REMOVAL OF EQUIPMENT. Permit Holder shall promptly remove
all personal equipment, blocking, supplies, or other materials, and
daily charges shall continue until the platform is cleared and ready to
receive other vessels.
9. PREPARATION OF VESSEL; LOADING AND UNLOADING. The City shall
operate only the sh1plift mechanism. The Permit Holder shall design
and provide all blocking and other materials necessary to prepare the
vessel for lifting. All blocking and other activities requisite to
lifting the vessel shall be performed, inspected and directed by the
Permit Holder. The City retains the overs1ght1ng rights to inspect the
design and workmanship solely to assure that the blocking system does
not pose a potential to damage the sh1plift facility. If such a
possibility exists, the City may refuse to lift the vessel. There is
no requirement for the City to perform such inspections, and, by
performing an inspection, the City does not release the Permit Holder
of any responsibilities or liability contained in the Permit. The
vessel is to be removed and guided onto the lift, aligned on the
blocking and sUbsequently removed from the lift under the discretion of.
or by, the Permit Holder. The City will operate the lift according to
the discretion of the Permit Holder, subject to the overriding right to
stop the lift operation if it feels there is a possible hazard to the
facility or vessel.
10. UTILITIES. The scheduled lift shall have preferential use of
City-owned water and electrical outlets. Arrangements for use of water
and electrical outlets must be made through the Harbor Office. Costs
for utility hookups shall be those posted in the utility tariff for the
Seward Small Boat Harbor.
11. STORAGE. The City will designate an area adjacent to the
platform for storage of materials and equipment. The charge during the
term of this permit shall be $38.91 per month for the use of that space.
The space shall be allocated among users by the Harbormaster, based
upon his decision as to maximizing the efficiency and utilization of
the shiplift platform. The City will not be responsible for damage to,
or theft of, equipment and supplies or stores left on City property.
All areas utilized by the Pemrit Holder will be maintained, clean and
orderly, free of trash and debris.

12. MAINTENANCE OF FACILITIES. The City will perform
maintenance and repairs of the mechanical/electrical and structural
systems of the lift. The Permit Holder is responsible for all routine
maintenance and housekeeping of permit areas, or areas otherwise
utilized for Permit Holder's activities, to include maintenance of the
surface of the platform and replacement of wood decking according to
specifications provided by the City. The Permit Holder will take all
necessary measures to protect the platform and adjacent facilities and
equipment from damage, exposure to paint or other contaminates. All
areas utilized by the Permit Holder will be maintained, clean and
orderly, free of trash and debris. The Permit Holder is specifically
prohibited from drilling, welding or otherwise damaging any structural
steel, rails or miscellaneous steel fixtures of the platform and
sh1plift facility, or doing anything which damages, or will damage, the
platform and shiplift facility. Any damage to the facilities will be
repaired or replaced at the Permit Holder's expense. The repair work
may be accomplished by the Permit Holder or others at the City's
discretion.
13. CLEAN UP. Should the Permit Holder fail to clear the
pl atform, dock and breakwater of all supplies, equ ipment and stores
upon completion of work on a vessel, the City may clear the area and
bill the Permit Holder for all expenses incurred.
14. MISCELLANEOUS. This is the entire permit and is to be
interpreted and applied by the Harbormaster in order to further the
public interest of maximizing use and efficiency of the shiplift
platform and marine facilities. This Agreement may be modified only in
writing. If any Permit Holder contests any decision made by the
Harbormaster, the exclusive remedy shall be to the City Council. which
shall be the final judge of any dispute. This agreement form may be
filed by the City of Seward with the Federal Maritime Commission and
other agencies.
15. TERMINATION. The City may terminate this Permit at any time
for convenience, upon delivery of written notice to the Permit Holder
thirty (30) days prior to the date of intended termination. If the
Permit is terminated for convenience, the Permit Holder shall promptly
complete any work underway and clear the works1te (including storage
areas) of its equipment, buildings and supplies. All necessary site
cleanup, repair of the platform or other obligation required by this
Permit will be completed prior to the termination date.

The City may terminate this Permit for cause, giving the Permit
Holder thirty (30) days' notice prior to the termination date, except
it may be terminated immediately if the Permit Holder's operations pose
a danger to the sh1plift facility or are violations of state or federal
permits, or if the insurance policies required in Paragraph 5 are
cancelled or have lapsed for any reason. If the Permit Holder fails to
correct its operations to the satisfaction of the City, the City may
clear the area of vessels and the Permit. Holder's buildings, equipment
and supplies, and bill the Permit Holder for all expenses incurred.
When terminating for cause, the City assumes no obligations to complete
the repairs to any vessel that may be on the platform, except those
necessary to enable safely moving it to a moorage, and such repairs
shall be at the expense of the Permit Holder.
In addition, this Permit shall automatically terminate upon the
completion of the transfer pit and rail system currently under design
and construction, it being understood by the Permit Holder that this
Permit is for an interim time period only, and does not grant Permit
Holder any preferential or vested right to receive any further permits
or lease of facilities under construction.

to each insured who is seeking coverage or against whom a claim is made or a suit 1
brought, except with respect to the Company's limit of liability.
