NOTICE IS HEREBY GIVEN that the Seward City Council will
conduct a special meeting on the following items of business on
November 21,2006.
The special meeting will commence at 6:30 p.m., or as soon thereafter as business
permits, in the City Council Chambers, City Hall, 410 Adams Street, Seward. All
interested persons are invited to attend the meeting and participate in the discussion; or,

Under the "new business" section on the agenda, you can make motions advising the city clerk what
items you wish changed, if anything, on the advertisement or job description for the permanent city
manager position. The mayor may wish to appoint members that will be negotiating the contract at
this time also.
Executive Session
You must make a motion, second, and vote to go into executive session. If in your discussions,
you wish to pursue one particular individual as the interim city manager, you can come out of
executive session and make a motion to do so. However, the motion should be in some
conditional form as shown in the example below. If contract negotiations and background
checks are successful, the clerk can put a resolution on the December 11, 2006 agenda for
adoption.
SAMPLE MOTION
Appoint (name) as interim city manager contingent on a successful background check and
successful negotiations on an employment agreement.
Two suggestions from past experience.
First, it is not advisable to hire without first conducting an interview and a background/reference
check. Second, council should consider whether an interim may also apply for the permanent
city manager position, because that factor alone was a deterrent for many candidates who applied
the last time.

Assistant
Summary:
Serves as chief administrative officer of the city and is responsible for the effective and
efficient administration of all City services through the supervision of subordinate
administration department heads. Performs duties under the directives of City laws and
ordinances and within broad policy guidelines from the City Council.
Essential Duties and Responsibilities:
Directs the internal administration and operation of all City departments through
subordinate department heads. Submits regular reports from Department Heads to
council.
Approves expenditures, policies and procedures for the departments under his/her control.
Recommends changes to the Council and the basic organization and plans for
departments under his/her control; executes and enforces changes approved by the
Council.
Appoints, lays off, suspends, demotes or removes all administrative department heads,
officers and employees of the City subject to personnel system regulations, and personnel
law. Approves all personnel transactions within city work force.
Signs City-approved contracts, leases and agreements authorized by the City Council.
Recommends to the Council sale and lease of materials, property, equipment and real
estate of the City.
Negotiates such contracts and leases as the Council may authorize.
Recommends to the Council a schedule of fees and rates of all types of services
performed by the departments under his/her control. Establishes such fees and rates as
Council may direct.
Prepares and submits annual operating and capital budgets to the City Council;

administers the budget and recommends changes to the City Council.
Attends City Council meetings and presents administrative data and makes
recommendations on policy and other desirable actions for consideration of the Council;
advises the Council of the financial condition and future needs of the City.
Performs such duties as may be required by the charter or as the Council may require.
Supervisory Responsibilities:
Directly supervises Assistant City Manager, Personnel Officer/Executive Assistant, and
department heads. Carries out supervisory responsibilities in accordance with the City's
policies and applicable laws. Responsible for the evaluations of the City's department
heads, Assistant City Manager and Personnel Officer/Executive Assistant.
Qualification Requirements:
To perform this job successfully, an individual must be able to perform each essential duty
satisfactorily. The requirements listed below are representative of the knowledge, skill,
and/or ability required. Reasonable accommodations may be made to enable individuals

Education and/or Experience:
Masters degree in public administration preferred or graduation from an accredited college
or university with a Bachelor's Degree in Public Administration, Business Administration or
a closely related field; and a minimum of five years experience in a senior management
position, preferably in the public sector; or any equivalent combination of experience,
education and training which provides the knowledge, skills and abilities necessary to
perform the work.
Language Skills:
Ability to read, analyze and interpret common scientific and technical journals, financial
reports, and legal documents. Ability to respond to common inquiries or complaints from
customers, regulatory agencies, or members of the business community. Ability to write
speeches and articles for publication that conform to prescribed style and format. Ability to
effectively present information to top management officers, public groups, boards and
commissions, and the City Council.
Mathematical Skills:
Ability to add, subtract, multiply and divide, using whole numbers, common fractions, and
decimals. Ability to calculate figures and amounts such as discounts, interest,
commissions, proportions, and percentages. Ability to apply concepts such as fractions,
percentages, ratios, and proportions to practical situations.
Reasoning Ability:
Ability to define problems, collect data, establish facts, and draw valid conclusions. Ability
to interpret an extensive variety of technical instructions in mathematical or diagram form
and deal with several abstract and concrete variables.

PUBLIC NOTICE
The City of Seward, Alaska is recruiting for a City Manager. Salary $80,000 (DOQ) plus
health and retirement benefits and car allowance. $20 Million + budget; 83 year-round
employees; home rule city with Mayor and six Council Members; area wide year-round
population 5,000, summer 10,000. Services include fire, police, library, harbor, electric,
water/wastewater, streets, parks & recreation.
Seward is Alaska's third largest visitor destination with an average of 100 cruise ship
calls and 300,000 visitors annually. Located 120 miles south of Anchorage, via a
National Scenic Byway, with the state's busiest harbor, the best viewable glacier, and
the third busiest cruise ship port. Seward is experiencing strong growth and is both
benefiting and challenged by that growth.
Requirements include a Masters degree in Public/Business Administration preferred or
a Bachelor's Degree in Public/Business Administration; and five years experience in a
senior management position, preferably in the public sector; Q! equivalent. Ideal
candidate has varied experience in finance, community development, tourism impacts,
and human resources with strong communication skills. Growth and utility
management skills are desirable as is a strong record in local government management
success. Required to be a resident of the City of Seward during tenure in office.

This agreement approved by the City Council of the City of Seward, effective the 28[/1
day of February 2005, is between the City of Seward, Alaska ("City") and Mr. Clark
Corbridge. The City agrees to employ Clark Corbridge as interim City Manager. This
agreement shall continue until such time a permanent City Manager is hired unless
terminated sooner as provided below. This contract shall take effect immediately when
all required signatures have been affixed hereto and approved by the city council. Unless
renewed, amended or replaced by a SUccessor contract before August 28, 2005, this
contract shall continue for a term of six (6) months and end on August 28, 2005. The
tenns of this agreement are stated below.
INTERIM CITY MANAGER EMPLOYMENT AGREEMENT
RA TE OF PAY AND TERMS OF AGREEMENT
Corbridge agrees to devote full time on behalf of the City and not engage in any other
business and have overall responsibility and authority designated under Seward city code
(SCC) 3.05.015.
Corbridge shall be paid at the rate of $7,500 per month, inclusive of any holidays during
this service.
Corbridge shall be an at-will employee of the city, but interim manager shall not be
entitled to benefits otherwise provided within the Seward city code including; alU1Ual
leave accrual, retirement benefits, city health and medical insurance, except and unless
such benefits are required by state or federal law.
Corbridge may compete for the position of regular city manager. If hired as regular city
manager, Corbridge shall receive credit for annual leave accrued retroactive to the date of
appointment to interim manager status, at a rate of 13 1/3 hours per month of service or
160 hours per year.
VEHICLE/MILEAGE
Corbridge shall be reimbursed by the City for use of his personal vehicle while traveling
on city business at the same rate as all other employees of the City. Reimbursement is
subject to standard city policy procedures and SCC 3.60.025. A city vehicle may be
provided in the alternative if approved by the city.
HOUSING/MOVING EXPENSES
Mr. Corbridge will secure housing within the city limits. The city of Seward agrees to pay
Corbridge a one time sum of $5,000 for moving expenses in lieu of housing and perdiem.

Because of the peculiar nature of the City Manager position, it is agreed that the City's
business can only succeed if the Interim City Manager and the City Council enjoy a
working relationship based on mutual respect, trust and posItIve attitudes. It may,
therefore, be impossible to quantify "poor performance" or "just cause" for tem1ination
given these complexities which often involve personality factors as opposed to legal or
contractual factors. It is therefore the intent of the City, to provide for tennination
without resort to any determination of cause, no pay-out of any kind, or any necessary
explanation by the City.
The city council reserves the right to terminate this agreement for any reason or for no
reason at any time by giving written notice of such termination to the interim manager
personally or by delivery to his or her office. Upon termination, interim manager shall be
promptly paid the amount of salary due for the month of said termination, and no further
payments to interim manager will be owed. Interim manager may tem1inate this
agreement by giving 60 days written notice to the city council.
This agreement is the entire agreement and wherever approval of the City is required it is
understood that such approval will be by the City Council of the City of Seward. This
agreement supersedes any previous agreement and may be modified only in writing
signed by each of the parties. This agreement will be interpreted and enforced in Alaska
in accordance with the laws of the State of Alaska and is subject to all applicable Charter
and ordinance provisions of the City of Seward; provided that no provisions of Title 3 of
the Seward City Code shall apply except those provisions expressly identified above and
3.70 (drug & alcohol policy), 3.75 (sexual harassment policy), and 3.80 (workers
compensation).
