CITY OF SEWARD, ALASKA
RESOLUTION 2004-28
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SEWARD,
ALASKA, AUTHORIZING THE CITY MANAGER TO EXECUTE A LEASE
AMENDMENT WITH JAMES T, PRUITT AND HARBOR GATEWAY, INC.
FOR A DELETED PORTION OF LOT 1, BLOCK 10, SEWARD SMALL
BOAT HARBOR SUBDIVISION, SEWARD, ALASKA
WHEREAS, the City of Seward leases Lot 1, Block 10, Seward Small Boat Harbor
Subdivision, according to Plat 2000-19, filed in the Seward Recording District, Third Judicial
District, State of Alaska to James T. Pruitt and Harbor Gateway, Inc. (collectively, "Lessee"); and
WHEREAS, the size of the area leased by the City to Lessee was increased in 2000 in
consideration for Lessee's promise to construct a sidewalk and other promises which were not
fulfilled; and
WHEREAS, the parties desire to reduce the size of the leased area and thereby increase the
size of the City's public parking area adjacent to the north boundary of the leased area; and
WHEREAS, Lessee agrees to replat the area and pay all legal and administrative costs ofthe
City in amending the Lease.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF SEWARD, ALASKA, that:
Section 1. The recitals are hereby incorporated by reference.
Section 2. The attached Lease Amendment #1 incorporated herein by reference as Exhibit A,
is hereby approved and the City Manager is hereby authorized to execute the Lease Amendment in
substantial form as attached hereto and to make such corrections and execute related documents as
may be necessary to fulfill the intent of this resolution on behalf of the City of Seward.
Section 3, Effectiveness of the Lease Amendment #1 is conditioned upon effectiveness of
this resolution and payment by Lessee in full of all legal and administrative costs of the City related
to the Lease Amendment.
Section 4. This resolution shall take effect 30 days after passage and posting.

Agenda Item: Authorizing the City Manager to Execute a Lease
Amendment with James T. Pruitt and Harbor Gateway Inc for a Portion of
Lot 1, Block 10, Seward Small Boat Harbor Subdivision.
BACKGROUND & JUSTIFICATION:
The City of Seward leases Lot 1, Block 10, Seward Small Boat Harbor Subdivision, to James
T. Pruitt and Harbor Gateway, Inc. (collectively, "Lessee"). The size of the area leased by the City to
Lessee was increased in 2000 in consideration for construction of a sidewalk. The parties now desire
to reduce the size of the leased area and thereby restore the size of the City's public parking area
adjacent to the north boundary of the leased area. Lessee agrees to replat the area and pay all legal
and administrative costs of the City in amending the Lease.

This lease will reduce lease revenue to the Harbor Department and the General Fund by
approximately $1,415.
