RESOLUTION 2004-108
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SEWARD,
ALASKA, AUTHORIZING THE CITY MANAGER TO ENTER INTO AN
AGREEMENT WITH MARK A. CLEMENS TO EXTEND THE TERM OF
THE LEASE OF LOT lA, BLOCK 1, MARINA SUBDIVISION, SEWARD
RECORDING DISTRICT, THIRD JUDICIAL DISTRICT, STATE OF
ALASKA
WHEREAS, Mark A. Clemens (Lessee) seeks to extend the term of his existing lease
agreement, Lease Number RE-68-009 with the City of Seward for Lot lA, Block 1, Marina
Subdivision, as shown on plat 98-28 recorded in the Seward Recording District, Third Judicial
District, State of Alaska; and
WHEREAS, the current lease has been in effect since July 22, 1992 and the Lessee has
established a commercial business on the leased land; and
WHEREAS, the Lessee seeks to obtain financing for capital improvements to the leased
property and can only do so ifhis lease term is extended for a remaining term of 30 years with two
five year renewal options; and
WHEREAS, it is in the public interest to promote continued and increased retail activity of
this type within the City and benefit the community through job growth and other related economic
impacts.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF SEWARD, ALASKA, that:
Section 1. For the reasons stated in the above recitals, it is in the public interest to enter into
an amendment to Lease Number RE-68-009 extending the term of the lease.
Section 2. The City Manager is hereby authorized to enter into a lease amendment with
Mark A. Clemens, in substantial form as attached hereto and incorporated herein by reference, and to
make such changes to the attached Lease Amendment No.2 as necessary to finalize the lease term
extension between the parties but without changing the substantial terms and conditions as described
therein.
Section 3. This resolution shall take effect thirty (30) days after its adoption and posting.
PASSED AND APPROVED by the City Council of the City of Seward, Alaska, this 22nd
day of November, 2004.

Agenda Item: Authorizing the City Manager to Enter into a Lease
Amendment with Mark A. Clemens for Lot 1A, Block 1,
Marina Subdivision to extend the Lease term.
BACKGROUND & JUSTIFICATION:
Mark A. Clemens has lease RE-68-009 with the City of Seward to operate the Fish House in the
harbor area. This lease encompasses Lot 1A, Block 1, Marina Subdivision as recorded by Plat No.
98-28 in the Seward Recording District. He is planning to finance construction of the Fish House and
seeks an extension of the lease term to enable him to obtain financing. The current lease term expires
July 21, 2022.
In order to obtain financing, Mr. Clemens requested a lease amendment extending the term for 30
years, plus two additional five year options. The lessee is current on all real, personal and sales taxes,
utilities, lease payments assessments, licenses and required insurance.
