CALL TO ORDER
The Monday, January 26, 2026, regular meeting of the Seward City Council was called to order at
7:00 p.m. by Mayor Sue McClure.

FOR PUBLIC HEARING
Kevin Dunham, outside city limits, expressed his concerns with the current presidential
administration and spoke to the recent deaths of protestors. He hoped Seward could stand up to
denounce the violent actions of this current regime.
Steven Severn, inside city limits, spoke in opposition to more stores and shops being included in
the harbor development plan. He lives in Seward because he doesn't want to live in a big town
with big development. It also didn't make sense moneywise with the slow winter season.

John Wisel, outside city limits, spoke in opposition to the city's contract with the Chamber of
Commerce. Wisel read from a prepared statement that addressed issues such as the Chamber's
neutrality, accountability, and fairness.
Benjamin Smith, outside city limits, addressed Resolution 2026-010 and the Harbor Uplands
Development. He spoke in support of the new Harbormaster building, but was opposed to the lease
sites on the Uplands. The plan would see a reduction of parking spaces for single vehicles and boat
trailers.
Paige Craig, outside city limits, spoke as the Events Coordinator for the Chamber of Commerce.
She provided updates on the Polar Bear Jump. The festival saw a great turnout despite the bad
winter weather. She thanked the sponsors and thanked the Harbormaster and other city
departments for their help.
Russ White, inside city limits, spoke on behalf of Seward Parks & Recreation Department. He
provided council with an update on SPRD events and activities.
Nate Smith, outside city limits, spoke to his ideas for a city ordinance on Title 8 regarding
marijuana regulations. He noted some states like Colorado had an established set of rules where
Alaska was very new at this.
Elle Zernia, outside city limits, spoke about the proposed development in the harbor. She noted
her own involvement in the annual Mermaid Festival. She wanted council to be cautious of adding
more businesses to the Uplands parking area. She wanted to keep parking intact and not allow the
lease sites on the uplands. She thanked Community Development for their efforts to get community
feedback.
Corbin Gibson, inside city limits, floated his idea of having a video arcade in Seward.
Christiana Smith, outside city limits, spoke in support of the Chamber of Commerce being an
asset to the community. On another topic, she spoke about the proposed Harbor Uplands
development. She spoke of the importance of parking enforcement in the harbor. She liked the
idea of parking stall lines being painted, but was concerned about the loss of parking with the lease
sites.
Mica Van Buskirk, inside city limits, announced the Head Start early education program is
coming back to Seward. On another topic, she updated council on Seward High School graduation
rates and other statics regarding the funding for schools.

City Manager Report
City Manager Kat Sorensen updated council on Senator Dan Sullivan's recent visit to Seward
and the sites and facilities that she toured with him. They had a great discussion about the future
of the Coast Guard in Seward. Sorensen also provided an update on the city's Developer
Reimbursement Program and forecasted a work session in March 2026 to review applications.
City Clerk Report
City Clerk Kris Peck said the clerk's office staff had put together some graphs that showed the
2025 statistics for public record requests and city business licenses.
City Attorney Report
City Attorney Sam Severin said his office was keeping busy at a steady clip. He was happy to be
here tonight and noted the tough driving conditions from Anchorage.

PUBLIC HEARINGS
Ordinances for Enactment
Ordinance 2026-001: Amending the Seward City Code to Replace Masculine/Feminine
Language with Gender -Neutral Terms and Authorizing the Codifier to Implement Non -
Substantive Edits [Sponsored by City Clerk]
Motion (Osenga/Draper) Enact Ordinance 2026-001
Peck explained that the Municode company offered this gender -neutral update to city code as one
of their services. This ordinance would create more inclusive environments and do away with
outdated stereotypes that are used throughout city code. The included report featured two columns
that shows the current language and the revised gender -neutral language.
Severin noted that his office had spent quite a bit of time reviewing the changes and helped make
recommendations on the edits.
Notice of the public hearing being posted and published as required by law was noted and the
public hearing was opened.
Christiana Smith, outside city limits, said it makes sense to update the city code in these areas.
Tom Reese, outside city limits, spoke in opposition to the ordinance and wanted to leave things
the way they were. He felt the community was drifting away from God.
John Wisel, outside city limits, spoke in opposition to the ordinance. This was led by an ideology
movement that normalized it for a man to identify as a woman.
No one else appeared and the public hearing was closed.
Calhoon understood the citizen concerns, but noted the gender -neutral changes were more geared
to who is in the job position such as the city manager. If people took time to dig into the changes,
they would see the ordinance was geared towards removing the match -up of a gender to a position.
McClure echoed Calhoon's comments.

Sorensen explained the lease and how it cost the city $1 per year. The lease would also require
KPB approval in March. If the lease is approved, the next step will be to discuss the management
agreement of the gun range.
Notice of the public hearing being posted and published as required by law was noted and the
public hearing was opened. No one appeared and the public hearing was closed.
McClure noted it was a very inexpensive lease.

Resolution 2026-009: Authorizing the City Manager to Enter into Agreement with AK Built
Construction & Design, LLC for the Renovation of Boardwalk Between Ray's and Kenai Fjord
Tours in the Amount of $147,260
Motion (Osenga/Calhoon) Approve Resolution 2026-009
Harbormaster Tony Sieminski explained the need to replace this section of the boardwalk. He
described the Request for Proposals evaluation process.
Calhoon asked about the high cost and asked for clarification. Sieminski responded that the
company took a very thorough look at what needed to be replaced. There was a lot of rot and decay
in the wood piling and boardwalk that was originally built in the mid-1990s.
McClure asked about funding. Sorensen said the renovation would be funded by cruise ship head
tax.

Resolution 2026-010: Authorizing the City Manager to Accept the Proposal from R&M
Consultants, Inc. for the Design, Engineering, and Construction for the New Harbormaster's
Facility and South Harbor Uplands Development for a Total Project Cost of $13,949,252 and to
Execute Task Order 38 in an Amount Not to Exceed $2,088,980 and Appropriating Funds

Sorensen summarized the upgrades included in this proposal. She explained the cost breakdown
and the need for 15% funding.

Council discussed the Uplands development. Barnwell noted that parking on the Uplands was a
contentious issue. McClure noted the whole design of the parking area would still come back for
further review. This included the lease sites, the new harbormaster building and the bike path.

Resolution 2026-011: Providing for the Issuance of Harbor Improvement Revenue Bonds of the
City in the Aggregate Principal Amount of not to Exceed $13,000,000 for the Purpose of
Acquiring, Constructing and Installing Additions and Improvements to the City of Seward Small
Boat Harbor, Including a Harbormasters Building and Improvements to the South Harbor Uplands,
Funding the Reserve Account to the Reserve Requirement, and Paying the Costs of Issuance of
the Bonds; Providing for the Date, Form, Terms, Maturities and Manner of Sale of the Bonds;
Providing a Method of Payment Therefor; Fixing Certain Covenants and Protective Provisions
Safeguarding the Payment of the Principal of and Interest on the Bonds; and Reserving the Right
to Issue Additional Harbor Improvement Revenue Bonds on Parity with Such Bonds upon
Compliance with Certain Conditions

Sorensen said this was the funding portion that would pay for the previous Resolution 2026-010.
She explained the funding sources for this revenue bond.
Draper wanted clarification on the event that the actual cost of the project comes in less than the
$13 million. Sorensen clarified this revenue bond would adjust to the cost and covered up to $13
million.

Resolution 2026-012: Authorizing the City Manager to Enter into a Subscription and
Implementation Agreement for AccuFund Anywhere, a Cloud -Based Financial Management
System, Including an Implementation and Project Management Agreement with C Business
Services, LLC in the Amount of $88,880 and Appropriating Funds
Motion (Draper/Osenga) Approve Resolution 2026-012
Finance Director Sully Jusino said this resolution would allow the city to update AccuFund to
be cloud -based system. This modernization would be a huge advantage to the city. The AccuFund
specialist would customize the needs of AccuFund with all the city department heads.
Sorensen described a recent AccuFund server outage that threw the city into disarray. This cloud -
based would alleviate those frustrations of this aging accounting system. AccuFund Anywhere
would bring the city up to the next level.
Draper asked other cities had success using this accounting software. Sorensen noted AccuFund
was rare among other cities.

Resolution 2026-013: Authorizing the City Manager to Purchase 46 Picnic Tables and 26 Fire
Rings for the Municipal Campgrounds in the Amount of $36,393.20
Motion (Osenga/Calhoon) Approve Resolution 2026-013
Sorensen described the current inventory of campground amenities. A number of picnic tables
were beyond repair. She also noted that, for the first time ever, amenities were going to be added
to Boulder Field Campground. Lastly, she said the company Pilot Rock was reliable and the city
had ordered similar items from them in the past. She noted the tables were delivered in pieces and
the Campground staff assembled them over the winter.
Council and Sorensen discussed the ordering, assembly, shipping costs, and lack of local options
for the picnic tables.
Draped explained she pulled this resolution from consent because she was concerned about the
freight costing $10,000. She wondered if these items could be made locally instead. She wanted
to always shop local whenever possible.

Other New Business
Discuss contract with the Chamber of Commerce [Sponsored by Warner]
Warner said the contract with the Chamber of Commerce was due for renewal. She asked if the
Chamber Director could be allowed to speak.
There was no objection from council.
Chamber of Commerce Executive Director Amenda Sweeting introduced her staff who were
assembled in the front row. She noted the draft agreement was a 5-year contract this time and
explained why the contracted role was beneficial to the City of Seward.
Council directed City Administration to bring the contract back at the next meeting to be voted on.
Discuss the future of mobile vending on city property [Sponsored by City Clerk]
Peck explained how the city had pioneered the concept of having mobile vendors operating on city
property back in 2014. However, the vendors have gradually shifted to operating on private
property and are thriving, whereas the city's program is barely hanging on. In 2025, the city had
only one mobile vendor in the South Parking Lot who abruptly left mid -season. Peck was looking
for direction from council to determine if the city should put the program on hold or retire it
altogether.
Council and the City Clerk discussed the city's mobile vending program.

Discuss the October 2026 Regular Municipal Election [Sponsored by City Clerk]
Peck explained how in the most recent election, the KPB Proposition No. 5 had aligned the KPB
election with the State of Alaska election date in November. Peck summarized the City of Seward
Charter requirements for changing the date of the regular city election. It could be accomplished
with an ordinance and would require a one-year lead time. Therefore, the 2026 city election would
be locked into October. There would be some time -sensitive options coming up this fall for
changing the election date for 2027.
Council directed the City Clerk to bring back updates, costs, and information on running an
election without collaborating with the KPB.

Alaska Small Business Development Center [SBDC] 2025 Q4 Report
CITIZEN COMMENTS
Christiana Smith, outside city limits, described her experience attending the recent Alaska Public
Health Association Health Summit in Anchorage. She relayed information she had learned
regarding the importance of GIS systems and how they could be implemented within the City of
Seward.
John Wisel, outside city limits, spoke in opposition to the city's contract with the Chamber of
Commerce. He compared the contract to investing in a Blockbuster video store. In this modern
age, the Chamber could be easily replaced by a QR code or an online search engine. The current
Chamber of Commerce building would be better used as a Police Department.
Annette Reese, outside city limits, asked if she could talk about the appeal hearing.
[Clerk's note- It was decided that it would be best practice not to talk about the appeal hearing as
the decision had not been made final yet.]
Amanda Sweeting, outside city limits, addressed some of the previous concerns about the contract
with the Chamber of Commerce. She explained in more detail the visitor statistics, website
statistics, and how the Chamber was an excellent resource.

COMMENTS
Draper thanked all the members of the public for coming out tonight. She addressed Kevin
Dunham's heartfelt comments. She noted it was good news that Head Start program was coming
back to Seward. Lastly, she reminded everyone about the Seward Cares event coming up.
Crites appreciated the two presentations, thanked all the speakers, and stated her enthusiasm for a
new Harbormaster building.
Warner noted recent house fires around the state and encouraged residents to check their smoke
detectors. On another topic, she heard current High School seniors in the upcoming graduating
class have a lot of alumni parents. This was an encouraging statistic because people were choosing
to remain in Seward and raise their families here. She gave a shout -out to the young man who
spoke earlier about having a video game arcade. Warner also commented on the GIS as it pertained
to child-care facilities. Lastly, she thanked presenters, speakers, and council for all the great
discussions tonight.
Barnwell thanked Kevin Dunham for his comments tonight. Barnwell was grateful to live in a
smaller community where residents were civil and gracious to each other. On other topics, he was
excited about new Harbormaster building and was confident they could figure out the parking plan
for the Uplands. He also commented on the Head Start program, early education, the pool, the
middle school, the Coast Guard fast cutter, and the smolt in the Silver Salmon Derby.
Osenga echoed previous comments on Head Start program and the new Harbormaster building.
He was interested in how the Uplands design would play out. He thanked both presenters, and
thanked Sweeting for answering his questions about the Chamber of Commerce.
McClure thanked Tiner for his presentation. She explained the Seward Cares event in more detail.
She thanked Corbin for his comments on a possible video arcade. Lastly, she noted that Council
was about to hold an executive session.

City Attorney Sam Severin was invited to stay, along with all of the council with the exception of
Crites who was not present during the previous executive session of the appeal hearing.

McClure stated that the Board of Adjustment had upheld the Planning & Zoning decision, plus
added three modifications. The city clerk was directed to post the written findings on the city

Subject: Ordinance 2026-002: Amending Seward City Code §15.10.215 Parking
and Associated Parking References within Title 15
Background and justification:
The Planning and Zoning Commission has been reviewing the parking minimum requirements
in Title 15 of the Seward City Code to determine whether they continue to meet the needs of the
community. Pursuant to Seward City Code § 15.01.035, the Commission is authorized to review
and recommend amendments to Title 15 to the City Council. As part of this review, the
Commission held work sessions on May 20, June 17, August 19, and September 16, 2025, to
evaluate existing parking standards, consider public input, and develop potential
recommendations.
Throughout this process, the Commission identified a fundamental challenge with the current
parking code: there is no universally reliable metric for determining the precise number of
parking spaces required for each land use. Rigid minimum parking requirements can create
barriers to development when they do not reflect local conditions or site -specific needs.
Required parking consumes valuable land area, increases construction costs, and limits design
flexibility. These impacts are particularly significant for infill and mixed -use development on
smaller parcels, where required parking can render otherwise viable projects infeasible.
The Commission also discussed the relationship between parking requirements and housing
affordability. Excess parking requirements add substantial costs to development, which are often
passed on to renters and homebuyers through higher rents and purchase prices. Older buildings
present additional challenges, as many cannot meet current parking standards, making adaptive
reuse or redevelopment difficult. Beyond cost considerations, excess parking contributes to auto
dependency, increases impervious surface coverage, and creates additional stormwater
management challenges.
Commissioners expressed differing views regarding the appropriate approach to reducing or
managing the use of public rights -of -way for private parking, as well as how to prevent or
mitigate potential impacts to surrounding properties and traffic congestion.
Through public engagement, the Commission received specific feedback regarding parking
needs for hotels, multi -family housing, residential units within mixed -use buildings, and
businesses located in the Harbor and Central Business Districts. While recognizing that parking
remains an important consideration in these areas, the Commission found that reducing
minimum parking requirements in targeted contexts could increase flexibility, reduce barriers to

development, and encourage more efficient use of land. These changes would support compact,
walkable development patterns, promote infill housing, and better align parking regulations with
broader community sustainability and growth goals.
At its November 4, 2025, meeting, the Planning and Zoning Commission held a public hearing
on Resolution 2025-003, which proposed recommending that the City Council amend Seward
City Code § 15.10.215, Parking. The proposed ordinance included the following changes:
• Reducing minimum parking requirements for multi -family dwellings, hotels/motels,
clinics, and bowling alleys
• Clarifying parking requirements for auto repair stations
• Establishing parking requirements for animal shelters and drive-in facilities
• Requiring that land used in parking agreements be located within City limits
• Reducing required parking for multiple businesses or uses that share parking
• Clarifying when reductions in required parking may be requested
• Clarifying parking requirements for mixed -use development
During that meeting, Commissioner Hornseth moved to substitute the original resolution with a
version that eliminated minimum parking requirements in their entirety. A majority of the
Commission voted to postpone consideration of the substitute resolution in order to hold an
additional work session and address outstanding questions. This additional work session was
held on November 18, 2025.
At its January 6, 2026, meeting, the Planning and Zoning Commission approved Substitute
Resolution 2025-033, recommending that the City Council eliminate parking requirements in
the Seward City Code, with two additional amendments establishing parking requirements for
single-family homes on lots greater than 3,000 square feet and for duplexes and multi -family
dwellings.
The effect of the proposed legislation would be to:
• Eliminate parking requirements for all land uses except single-family homes, duplexes,
and multi -family dwellings
• Require two parking spaces for single-family homes on lots greater than 3,000 square
feet, except within the Central Business (CB) and Harbor Commercial (HC) zoning
districts
• Require one parking space per dwelling unit for duplexes and multi -family dwellings,
except within the CB and HC zoning districts
• Remove unnecessary parking -related definitions and references within Title 15
• Amend the Land Uses Allowed table to require hotels in the Auto Commercial zoning

AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF SEWARD, ALASKA,
AMENDING SEWARD CITY CODE §15.10.215 PARKING AND ASSOCIATED
PARKING REFERENCES WITHIN TITLE 15
WHEREAS, according to Seward City Code 15.01.035, the Planning and Zoning Commission by
its own motion may recommend amendments to Title 15 to the City Council; and
WHEREAS, it is in the best interest of the community to periodically review and update the
Seward zoning code to reflect community changes and needs; and
WHEREAS, the Planning and Zoning Commission held work sessions on May 20, June 17,
August 19, September 16, and November 18, 2025, to discuss parking minimums in Seward City
Code and recommend changes; and
WHEREAS, there is no universally reliable metric for calculating the number of parking spaces
needed for each type of land use, as needs vary by site, season, and user behavior; and
WHEREAS, rigid parking requirements can act as a barrier to development by consuming
valuable land area, increasing construction costs, and limiting design flexibility, especially on
small or infill parcels; and
WHEREAS, high parking minimums raise the cost of housing by requiring developers to build
parking spaces that may not be needed, thus increasing rents and purchase prices; and
WHEREAS, parking requirements can discourage adaptive reuse of older buildings, as many sites
cannot meet modern minimums, preventing their conversion to housing or mixed -use purposes;
and
WHEREAS, excess parking encourages auto dependency, increases impervious surfaces, and
creates stormwater management challenges, which run counter to community sustainability goals;
and
WHEREAS, reducing or eliminating minimum parking requirements, particularly in walkable,
mixed -use, and infill areas, can lower barriers to housing development, support compact growth,
and make more efficient use of limited land resources; and
WHEREAS, the Commission aims to ensure the appropriate management of private parking
within public rights -of -way and to reduce traffic congestion and negative impacts on nearby
properties; and

WHEREAS, the Commission primarily received public input regarding parking needs for hotels,
residential apartments in mixed -use buildings, multi -family dwellings, and businesses within the
Harbor and Central Business zoning districts; and
WHEREAS, the Planning and Zoning Commission approved Substitute Resolution 2025-033 on
January 6, 2026, recommending the City Council approve the proposed parking amendments; and
WHEREAS, the proposed code change is consistent with values and goals expressed in the
Comprehensive Plan.
NOW, THEREFORE, THE CITY OF SEWARD ORDAINS:
Section 1. Seward City Code Title 15.10.140 Definitions is hereby amended to read as follows

69. Parking requirements as stated in terms of employees. The maximum number of employees
who will be at the site at one time on either a single shift or an overlap of shifts.
Section 2. Seward City Code Title 15.10.215 Parking is hereby amended to read as follows (new
language is in bolded italics and underlined, and deleted language is stricken):
15.10.215 Parking.
A. General Requirement. No minimum number of off-street vehicle parkin] spaces is
required for any use, unless otherwise specified in this section. Except in the CB and the
HC districts, there shall be provided permanently maintained off street parking for each
principal business. It shall be the responsibility of the business owner to provide and
maintain said off street parking in accordance with this chapter continuously during the life
of the business.
B. Optional Parking Off-street parkinji may be provided at the discretion of the property
owner or developer, provided it meets applicable design and dimensional standards of this
title. For each principal building or use within a principal building, there shall be no less
than the number of off street vehicle parking spaces specified under this section:

D. A duplex and a multi -family dwelling is required to provide 1 parking space per dwelling
unit. A duplex and a multi family dwelling in the Central Business and Harbor
Commercial zoning districts is not required to provide off-street vehicle parking spaces.
E. Minimum dimensions of off-street spaces and aisles. The minimum dimensions of spaces
and aisles shall be as follows:

2. Required parking may be located on a lot not occupied by the principal use served only
the lot is made subject to a recorded agreement among its owner, the owner of the lot
occupied by the principal use and the City that the required parking will be maintained
for the benefit of the principal use served for the life of that use.
F,G Site plan. A site plan showing all parking areas shall accompany all applications for
building permits. Said plan shall show dimensions of spaces, curb cuts and other
information necessary to determine compliance with the provisions of this section. The
administrative official shall approve or reject the site plan on the basis of compliance with
the requirements of this section. No building permit shall be issued until the parking site
plan is approved. A site plan may exclude showing a parking area only if there is no
parking area for the site.
G.H Street access. All off-street vehicle parking facilities shall be designed with appropriate
means of access to street, alley or other right-of-way, and will have adequate maneuvering
area. No driveway or curb cuts in any district shall be less than 12 feet or more than 35 feet
in width. Detailed plans for all curb cuts shall be submitted to the administrative official for
approval before a building permit is issued.

ICI Parking lots. Every lot or parcel of land used as a public or private parking area shall be
developed as follows, subject to the approval of the plans by the administrative official:
1. Lighting of all parking areas shall be arranged to reflect away from adjacent residential
areas and all public streets and highways;
2. All parking spaces and lots shall be durably surfaced, free of mud and standing water,
and be dust free;
3. Where such area adjoins the side of a lot in any residential district, it shall be separated
from such lot by a fence or hedge not less than 4 feet or more than 6 feet in height.
Such fence or hedge shall be maintained in good condition and shall not extend beyond
front yard lines required in such residential district;
4. All parking (except that serving single-family and duplex residences) shall be so
arranged that ingress and egress are possible without backing over a sidewalk,
sidewalk area, or onto a street of collector or larger designation; and
5. Turning and maneuvering space (except that which services single-family and duplex
residences) shall be located entirely on private property, provided that the usable
portion of an alley may be credited as aisle space subject to safety approval by the City
engineer.
I. Dual use of lots. Two or more buildings or uses may collectively provide the required off
street parking, in which case the required number of parking spaces shall not be less than
the sum of the requirements for thc several individual uses computcd separately. In the
instance of dual function of off street parking where operating hours of uses do not overlap,
the planning and zoning commission may, by conditional use permit, reduce the required
parking to any amount that meets the requirements of each use.
J. Computation of numbers of spaces. In figuring the total parking requirements for a use, any
fraction of or more shall require one more space.
K. Reduction of spaces. No existing parking arca and no parking arca provided for thc purpose
of complying with the provisions of this section shall, after adoption of the ordinance
codified in this chapter, be relinquished or reduced in any manner below the requirements of
this section.
L. Uses of parking areas. Required parking areas and spaces shall not be used for sales display,
storage, repair work or any other purposes other than parking. All vehicles in custody of an
operator of a business for service, repair, storage, sale, or other purpose shall be stored on
the premises or on a separate vehicle parking lot and shall not be parked on a public right
of way.
IVI.J Location on property. Parking spaces shall be permitted in any required yard area provided
that within the residential districts no parking space shall be permitted within five feet of
any side property line.
N.K Intersection with public street. At the intersection of any private drive or entrance or exit for
a common parking area with a public street, no fence, wall, hedge, or other planting or
structure forming a material impediment to visibility between a height of 21/2 feet and eight

feet shall be erected, planted, placed or maintained, and no vehicle so impeding visibility
shall be parked within triangular area defined by lines connecting points as follows:
Beginning at the point where the midline of the private drive or entrance or exit for a
common parking area intersects the public right-of-way to a point 35 feet along the
right-of-way line in the direction of the nearer lane of approaching traffic, thence to a
point 25 feet toward the interior of the property along the previously described midline,
and thence to point of beginning
O.L Accessible parking requirements. All parking shall comply with the Americans with
Disabilities Act.
P. Group use of lots. Where more than one tenant or use is included within any one building or
on any one lot, the parking requirements shall be the sum total of the parking requirement,
for all of the various tenants or uses provided, however, that:
1. The aggregation of tenants or uses shall meet all the requirements within the definition
of "shopping center" in order to become entitled to utilize the parking ratio specified in
section 15.10.215(B).
2. Where a hotel or motel has other principal uses such as restaurants, bar and meeting
parking shall provide 100 percent of the required parking spaces and the other uses
shall provide, in addition, at least 70 percent of the parking spaces which would be
required if these were stand alone uses.
3. Where a convenience store includes a self service gas station, the required parking
shall be determined by the parking ratio specified in section 15.10.215(b). No
additional parking spaces will be required for gasoline service station.
Section 3. Seward City Code Title 15.10.226 Land Uses Allowed is hereby amended to read as
follows (new language is in bolded italics and underlined, and deleted language is stricken):
B. Lodging as defined in section 15.10.140B. is allowed in accordance with table 15.10.225 of
this chapter and subject to the following conditions:
1. Regardless of the date such use began, an annual administrative permit is required.
Prior to issuing the permit, the city shall conduct an annual life safety inspection of
each guest room to assure compliance with the current adopted building code
door/window egress standards, the presence of an operable and inspected fire
extinguisher and adequate smoke detection systems, a posted evacuation plan, and
visible signs showing exit locations.
2. The application for an annual administrative permit shall be accompanied by a fee
established by city council resolution. A fee will be issued for each separate,
advertised, rentable lodging unit.

3. Before any permit is issued, the applicant shall furnish evidence of the existence of one
or more policies of insurance, issued by an insurance company satisfactory to the city,
providing insurance coverage for lodging. Policies shall stipulate that the insurer will
give written notice to the city at least 30 days prior to the cancellation, expiration, lapse
or other termination of the insurance coverage.
4. Parking area(s), if provided, will be provided in accordance with section 15.10.215 of
this chapter.

Background and justification:
During the preparation of the 2025/2026 budget, the Water/Wastewater Division of Public Works
listed in the purchase a new truck for the foreman position. The current 2016 Ford F-250 4x4 Crew
Cab has over 97,000 miles, with substantial wear due to heavy service use. The acquisition of a
new truck is necessary to maintain operational reliability and readiness.
Through our procurement process, a 2026 Ford F-350 4x4 SD Crew Cab from Kendall Ford —
Fleet was selected. Our initial budget projections were based on prior market rates; however, the
market has shifted significantly, making the equipment more costly than originally estimated.
This resolution is for approval to purchase a 2026 Ford F-350 4x4 SD Crew Cab for the
Water/Wastewater Division from Kendall Ford — Fleet for $56,165, plus accessories.
The Department utilized the State's procurement contract REF#CA2451-26 with Kendall Ford —
Fleet as the best value for a 3/4 ton Crew Cab 4X4. Once the city has the truck in its possession,
additional accessories will be added at a cost of $15,525.19.

from Kendall Ford Fleet in the amount of $56,165 and additional accessories totaling $15,525.19
with funding from Motor Pool as approved in the 2025/2026 budget.
Section 2. Funding in the amount of $71,690.19 for the purchase of a 2026 Ford-350 4x4 SD Crew
Cab and accessories are hereby appropriated from the Motor Pool Reserves 03000-0000-3400 to
the Capital Equipment Account 03000-4000-8103.

Subscriptions for the IT Department in the Amount of $48,885.90
Background and justification:
With the constantly evolving cybersecurity threat landscape, the IT Department continues to work
to strengthen the City's network and data system defenses. One of the City's initial steps in early
2020 was the implementation of a modern endpoint protection solution to improve detection and
remediation of cybersecurity threats. After testing several products from multiple vendors, the
City selected Sophos MDR Complete to protect City desktops, laptops, and servers.
As cybersecurity risks have continued to increase in scale and sophistication, the IT Department
has identified the need to move beyond a primarily reactive security posture to a more proactive
approach focused on early detection, continuous monitoring, and rapid response to cyber
incidents. To support this goal, the IT Department has worked with Sophos to secure discounted
pricing to supplement the City's endpoint protection services with Sophos MDR Complete.
Sophos MDR Complete provides the City with access to a dedicated team of cybersecurity
professionals and the Sophos Security Operations Center (SOC). The SOC provides 24/7
monitoring of the City's endpoint protection environment, actively reviews alerts generated by the
Sophos security platform, and notifies City IT staff when potential threats or breaches are detected.
In addition, the service includes active threat hunting, monthly incident and system reviews, and
recommendations to further strengthen the City's cybersecurity posture.
A significant benefit of the Sophos MDR Complete service is the inclusion of incident response
and recovery support. In the event of a cybersecurity incident, the Sophos team would work as an
extension of the City's IT Department to help contain, neutralize, and recover from the attack.
Comparable incident response services can cost approximately $37,000 per incident if procured
separately; this capability is included as part of the MDR Complete subscription.
The current proposal from SHI would provide Sophos MDR Complete services for a three-year
term beginning February 15, 2026, and expiring February 14, 2029, at a total cost of $48,885.90.
This contract will allow the City to maintain and enhance its cybersecurity protections while
providing predictable costs and continued support for critical City systems.

WHEREAS, the cybersecurity threat landscape continues to evolve, and the City's IT Department

reporting and system reviews, and recommendations to strengthen City systems, effectively
extending the capacity of the City's IT Department; and
WHEREAS, the Sophos MDR Complete subscription also includes incident response and
recovery services, which would otherwise represent a significant standalone cost per incident, and
provides critical support in the event of a cybersecurity breach; and
WHEREAS, SHI has provided a proposal to supply a Sophos MDR Complete subscription for a
three-year term beginning February 15, 2026, and expiring February 14, 2029, in the amount of
$48,885.90.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
SEWARD, ALASKA:
Section 1. The City Manager is hereby authorized to accept the price quote for SHI for the purchase
of Sophos MDR Complete subscription, in substantially the form as attached hereto.
Section 2. Funding in the amount of $48,885.90 is hereby appropriated and included in the City's
Operating Budget FY25/26 from the expense account 01000-1121-7022 software/SAS
subscriptions.

Katwas in Anchorage meeting with Royal Caribbean Group and attending the
Pacific NorthWest Symposium on Tuesday, February 3rd and Wednesday February 4th
Jason will not be in attendance at this meeting as he will be in Anchorage for training and

Planning and Zoning Commission
The Commission participated in a joint work session with City Council on Monday, January
26, to discuss potential updates to marijuana regulations.
The Commission held a regular meeting on Tuesday, February 3, and voted on the following
resolution, which passed:
Resolution 2026-002, recommending City Council amend Seward City Code §15.10.140
(Definitions) and §15.10.226 (Land Uses Allowed) to incorporate regulations for a mobile
health unit.
The Commission will hold a work session on Tuesday, February 17, to discuss potential
updates to the City's Subdivision Code.
Comprehensive Plan
As part of ongoing comprehensive plan outreach, staff met with and interviewed the
Program Manager of the Seward Bear Creek Flood Service Area, Seward's representative
from the Alaska Small Business Development Center, and the Program Manager of the
Senior Center.

Staff attended the American Planning Association's 2026 Trend Report
Launch webinar and registered for the APA National Planning Conference, which will take
place at the end of April.
Staff attended the Seward National Fish and Wildlife Foundation Coastal Resilience Grant
Partner Meeting. This grant focuses on preserving and restoring fish habitat in the Seward
area. Trout Unlimited is facilitating the grant process and convened key stakeholders to
share project updates. Current discussions include potential culvert replacement projects
at Afognak Creek and Spring Creek.
Staff participated in a childcare focus group.
Staff joined the Destination Stewardship Committee and attended its monthly meeting.
This committee, led by the Seward Chamber of Commerce Board President, works to guide
how visitation develops in ways that benefit the community while protecting natural and
cultural resources.

Seward Fire Department is collaborating with the Bear Creek Fire Service Area to host an
Emergency Trauma Technician class this week.
The Seward Fire Department will be hosting their annual Awards and Appreciation Banquet
Friday, February 13th.
"Stay alert — a small spark can start a big fire. Keep flammable items at least 3 feet away
from heat sources and never leave cooking unattended."

Seward Harbor/SMIC
No major incidents have been reported within the Harbor/SMIC area.
New Year, New You. This is a great time and opportunity to dip your toe into one of the
many Boards and Commissions within the City of Seward. PACAB currently has two
vacancies.
We would like to remind our users to do a system check on their vessels, check on their
vessels regularly and/or have a local boat watch in place.
Status on leases/Permits - AT&T lease renewal -first draft is still under their review, Jag
lease extension - met with Mr. Jagielski mid -December to catch up and discuss ideas and
plans for the area. Lease draft is under their review and look forward to seeing that move
forward. One other new lease within SMIC area is being discussed and they are navigating
the permitting/paperwork needed to move forward. Working with attorney on a new
waterfront permit/lease and will send to lessee for their review.
The Harbor Crew has been occupying their time with snow removal, organizing supplies,
and cleaning.
Deputy Harbormaster will be representing Seward at the Seattle Boat Show February
2" thru the 4th. We are one of several ports/harbors that participate in working at this booth
that is sponsored by the Alaska Association of Harbormasters and Port Administrators
(AAH PA).
I would like to thank everyone for their support toward the NEW HARBORMASTER
BUILDING and Boardwalk Project. We are so excited for each of these projects and look
forward to the next phase of development within the harbor area.

Our Elm St water main design is at 70%. We expect it to be ready to put out to bid in
February.
The Water and Sewer Rate Study is underway and should be completed by June 2026 for
Council approval.
The water meter project is progressing quickly. We are working on steps to provide meters
to business customers who are currently not metered.
Two new high volume air blowers have been ordered for the Lowell Point Lagoon, and an
installation project will go out to bidders after the blowers arrive.
The SMIC Hypochlorite Generator project is under construction and now waiting for the
insulated metal wall and ceiling to arrive.

We are also in the design/engineering process for the mandated disinfection infrastructure
at both sewer lagoons. EPA and DEC have mandated this project for most communities in
Alaska and the other states.
Right after getting some nice white snow, the rain started again. While the public works
group is still doing their daily job duties, we are also trying hard to take care of water issues
on the roadways. The rain and warm temps are melting the recent snow quickly and
causing some flooding issues.
Electric Department
The Electric Department is nearing completion of its GIS Upgrade, with final data
processing and validation underway. The updated system map is scheduled to go live on
February 20, providing a significantly improved and more accurate representation of the
City's electric infrastructure. This upgrade will enhance system planning, asset
management, and long-term reliability efforts.
Community outreach remains a priority as the Department continues to host public town
halls focused on the future of Seward's electric utility. The next town hall, covering
municipal -owned utility operations, will take place on February 4, with doors opening at
5:30 p.m. at the Rae Building.
In preparation for a busy construction and maintenance year ahead, the line crew has
been actively reviewing inventory levels and estimating material needs for the upcoming
season to ensure timely project execution and efficient operations.
At the power plant, Plant Operators have been working closely with a contractor to install
fuel meters on the generation units. These meters will provide real-time fuel consumption
data during generator operation, improving operational visibility, efficiency tracking, and
cost management.

Parks and Recreation
Sports & Recreation:
Competitive and Recreational Volleyball Leagues have started, with 6 leagues signed up
and 83 players registered. The games are bumpin' and everyone has been having a great
time so far getting active with their friends and having fun doing it!
Our Journal Making class led by SPRD Recreation Manager Russ White was an awesome
way to work with your hands during this blustery month. During the 4 part session, Russ led
the class through designing their own leather covers, making paper from pulp, and finally
stitching the project together! We had 8 participants create beautiful journals they made
from start to finish.
The Tangled Lines Comedy Troupe, led by Emily Martis, held a weekly Improvisational
Theatre Workshop every Tuesday this month in our multi -Purpose room. You could hear
laughs the entire the hour coming from the room. We look forward to hosting more of these
in the future, so keep your eyes out for sign-ups.
The start of the Urbach's Youth Basketball League was a huge success! We have seventy-
seven youth aged 4 to 12 years old participating this year, and many of them got the chance
to participate in this year's Seahawk Classic. This is an opportunity for the kids to play
during the half time of the High School Girls and Boys basketball games and enjoy the loud
cheers of the crowds.
Two of our four Racquetball leagues have started for the Spring 2026 season. This season,
we have our 32 players in our leagues which is largest number of participants in the
Racquetball Leagues that we have had ever! We are so proud of building this program from
12 players to 32 in a few years.

Teen Rec Room:
The Teen Room saw 76 visits in the past two weeks, and about 145 hours of use. The Teens
have been taking a step away from the TV lately to zone more into crafts and card games
which always makes the SPRD staff happy to see.
We also were able to have two amazing bonfire blast nights with plenty of kiddos, smores,
and smiles. While we couldn't build snow forts on the 30th like planned, the kids did a good
job of building their own with what we had laying around the TRR.
Over the past few weeks, we have been lucky enough to host the "Kids in the Kitchen"
program at the Teen Room. With a full kitchen, the kids got to make cheese biscuits,
Cupcakes, chicken pot pies, and ice cream sandwiches all from scratch! This week was
the last week of kids in the kitchen (for now), and we are happy to report that it was a great
success, and we look forward to bringing it back down the road!

Re: January Status Report
This is our status report covering activity on legal matters worked on during January
General Matters:
We provided guidance to the Clerk and Council regarding the Tufted Puffin appeal.
Mr. Severin attended two Council meetings regarding the appeal. We provided guidance to
the City Clerk on legislative matters, including work on an ordinance to revise the gendered
language in the city code. We revised a liability waiver for Parks and Rec. We advised
the fire department on a code interpretation question. We continue to assist with
the City's disinterment policy. We reviewed and provided guidance on the draft
agreement with the Chamber of Commerce.
Electric Utility:
Our office continues to work with the City in the RTO docket. January's primary task
was a discovery request to the RTO to clarify some of its positions prior to the hearing
beginning in February. While the City participates in the RTO, some of its responses and
testimony appeared beyond the scope of the position authorized by the Governance
Committee (which includes the City). We analyzed a settlement offer from the State, that
due to lack of interest from other parties, has not moved forward. We are diving into
preparations for the three-week hearing that begins mid -February, which includes witness
preparation, cross examination preparation and reviewing the current record.
We also continued assisting the City in its ongoing town halls regarding the future of
the utility. This included additional research on how customers outside City limits may
participate in any decisions on the future of the utility.
Planning:
We provided guidance to staff regarding parking legislation, mobile medical
ordinance, a land swap, split lot zoning, and signing a plat as an owner. We also discussed
ordinance options and started drafting an ordinance to amend the subdivision improvement

sections of code.
Port and Harbor:
We drafted various contract options for Cordova Telecommunication Cooperative to
install a fiberoptic cable on City tidelands. We provided guidance on a software contract, on
a purported lien related to a tenant in the SMIC, on agreement options to install railing and
lights along the boardwalk and recording an easement and lease with the State Recorder's
Office.

The City of Seward Electric Department utilizes a mobile equipment shop vehicle to support daily

distribution and transmission system. The current vehicle, commonly known as the "Red Bird," is
a used ambulance originally manufactured in the 1980s. While it has served the department well
over many years, the vehicle has exceeded its useful service life and is becoming increasingly
unreliable and costly to maintain.
As the vehicle ages, maintenance requirements, downtime, and parts availability have increased,
creating operational challenges and potential safety concerns for Electric Department personnel.
Replacing the "Red Bird" with a modern Ford Transit Van will provide a safer, more reliable, and
more efficient platform for mobile equipment storage and field operations, while reducing long-
term maintenance costs and improving service reliability.
Pricing for the Ford Transit Van was obtained through Sourcewell Cont#CA2451-26, a
cooperative purchasing organization that provides competitively solicited contracts, ensuring best
value and compliance with procurement requirements. The total purchase cost for the vehicle is
$79,995.

WHEREAS, the purchase of a Ford Transit Van to serve as the Electric Department's new mobile
equipment shop was reviewed, planned, and included in the approved Fiscal Year 2025/2026
Electric Department budget; and
WHEREAS, pricing for the vehicle was obtained through Sourcewell Cont#CA2451-26, a
nationally recognized cooperative purchasing organization, ensuring competitive pricing and
compliance with applicable procurement requirements, with a total purchase cost of $79,995; and
WHEREAS, the proposed purchase is consistent with the City's fleet replacement strategy and
long-term operational planning for essential utility services.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
SEWARD, ALASKA:
Section 1. The City Council hereby authorizes the purchase of a Ford Transit Van for use by the
City of Seward Electric Department as a replacement for the existing mobile equipment shop
vehicle known as the "Red Bird."
Section 2. Funding in the amount of $79,9995 is hereby appropriated in the Electric Enterprise
Fund Reserves 15000-0000-3400 to the 15000-3001-8103 Capital Equipment Expense Account.
Section 3. This resolution shall take effect immediately upon adoption.

Background and justification:
The Seward Chamber of Commerce and the City of Seward have a long history of collaboration
which is focused on driving economic growth in the community and providing visitor services.
The Seward Chamber of Commerce also serves as the lead marketing entity for the City of Seward.
In the 2025/2026 Operating Budget, the City Council approved a flat fee of $300,000 for the
Seward Chamber of Commerce. The scope of the agreement is structured around three primary
service categories including economic development, visitor information services, and destination
management.
On the January 26th Council meeting, a discussion was sponsored by Councilmember Warner on
the Chamber Contract which included a draft proposal.
The draft proposal has a contract rate of $400,000 for 2026 with a CPI increase each year. The
finances for the current proposal would be (based on the 2025 cpi of 2.7%):

The total financial obligation over 5 years based on those numbers is $2,110,956.
The proposed contract provides for regular reporting to ensure the Chamber continues to meet and
align with the City's Comprehensive Plan.
The CPI needs to be discussed/defined further. Is the annual CPI going to be used? Often CPI is
determined on a 5-year average or given minimums and maximums to ensure stability, year over
year.

Additionally, the funding source needs to discussed further. The bed tax total revenue for 2024
was $873,682.45 (2025 Bed Tax is not yet finalized). The intent of bed tax was that the chamber
would receive half. Will there be a different funding source if the contracted rate goes over the
50% of the bed tax collected?

WHEREAS, the Seward Chamber of Commerce and the City of Seward have a long-standing

industries to make Seward an attractive place to live, work, and play; and

WHEREAS, there was a discussion held at the January 26th Council Meeting, and it was requested
that administration bring a resolution forward with the draft proposal; and
WHEREAS, there are a number of items that need to be discussed and clarified before the contract
is finalized.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
SEWARD, ALASKA:
Section 1. The City Council hereby authorizes the City Manager to enter into a contract with the
Seward Chamber of Commerce.
Section 2. Funding in the amount of $400,000 is hereby transferred and appropriately included in
the City's operating budget FY26 from the expense account 01000-1180-7801 contribution to the
Seward Chamber of Commerce.
Section 3. This resolution shall take effect immediately upon adoption.

Dear Mayor and Members of the City Council,
This Economic Development Partnership Agreement outlines the services the Seward
Chamber of Commerce, Conference and Visitors Bureau (SCC-CVB) is proud to
continue providing on behalf of the City, as well as the resources needed to deliver
those services in a way that reflects the growth of our community. The proposed
five-year agreement includes a flat base funding amount with an annual adjustment
tied to the Anchorage CPI-U, providing stability and predictability for both the City
and the Chamber as we plan for the years ahead.
Seward is on the cusp of an exciting new chapter. With the opening of a new cruise
ship terminal, harbor facilities, new emergency services buildings, new harbor
commercial development, the potential for a larger Coast Guard presence, and new
and expanding hotels, our community is experiencing growth that reflects years of
thoughtful planning and investment by the City and community. This agreement
reflects our long-standing partnership evolving in step with that progress.
This updated contract reflects the cost of delivering the professional, year-round
services the City has long entrusted to SCC-CVB. Much of the proposed adjustment is
driven by staffing needs, as the scale and expectations of our Visitor Center and
destination management responsibilities continue to grow alongside visitation and
community activity.
As our Visitor Center, marketing reach, and responsibilities grow, it is more
important than ever to share Seward's story from a local perspective. Every visitor
who walks through our doors should leave not only informed, but inspired to
appreciate Seward as a vibrant community, not just a destination. The Visitor Center
should also continue to serve as a trusted resource for residents, businesses, and
workers, connecting people to services, opportunities, and one another.

SEWARD CHAMBER OF COMMERCE, CONFERENCE AND
VISITORS BUREAU
THIS AGREEMENT is effective the 1st day of January 2026, by and between the City of
Seward, Alaska, ("City"), and the Seward Chamber of Commerce, Conference and
Visitors Bureau ("SCC-CVB"), a not -for -profit corporation of the State of Alaska. The
purpose of this Agreement is to define the roles and obligations of the parties
regarding Economic Development, Visitor Information Services, and Destination
Marketing.
The parties agree as follows:
SECTION 1— GENERAL
The parties enter into this agreement with the understanding that both benefit from
Economic Development, Visitor Information Services, and Destination Marketing and
that the combined marketing efforts of the parties is more efficient, practical, and
professional.SCC-CVB agrees to perform the services outlined in this Agreement with
due diligence and care and in a good and professional manner.
SECTION 2— PERIOD OF PERFORMANCE - FIVE YEARS
The initial term of this Agreement shall be from January 1, 2026, through December
31 st, 2030.
SECTION 3 — SCOPE OF SERVICES
SCC-CVB shall provide services to the City under this Agreement within the following
three primary categories:
A. Visitor Information and Management Services
SCC-CVB shall manage and operate the Seward Visitor Center and provide visitor
information services, including:
• Providing year-round, trained staff to respond to visitor inquiries.
• Staffing the Harbor Derby Booth and Cruise Ship Terminal on cruise ship days.
• Creating and maintaining informative displays, maps, and exhibits highlighting
local amenities and cultural information.

• Providing public restroom facilities, free shuttle stop services, and lost and
found
• Supporting visitation management and visitor flow through information services
and coordination.
B. Destination Marketing Organization (DMO) Services
SCC-CVB shall serve as the City's Destination Marketing Organization and shall:
• Develop and execute an annual destination marketing and economic development
plan to promote business development, workforce attraction, residency, and
visitation to in -state and out-of-state audiences. The plan shall be reviewed
annually and presented to the City Manager, and shall identify activities for the
upcoming year.
• Develop and maintain the City's destination brand and visual identity in
coordination with the City, including messaging, design standards, and
promotional assets that reflect Seward's character, values, and economic
priorities.
• Represent and promote Seward at regional, state, and national trade shows,
conferences, and expos, including workforce, tourism, and economic
development forums, to market the community as a premier destination to visit,
live, and work.
• Produce and distribute an annual Seward Destination Guide and semi-annual
Marine and Hometown Guides, in both print and digital formats, showcasing
Seward as a place to live, work, and visit.
• Maintain and manage Seward.com as the City's primary visitation and relocation
website, promoting local businesses, attractions, cultural resources, and
sustainable tourism.
• Conduct year-round marketing and advertising in print, online, radio, and other
commercial -quality media, including press releases and promotional campaigns.
• Include references to City services, facilities, and functions in relevant
publications and marketing materials.
C. Community and Industry Development
SCC-CVB shall support community and industry development by:

• Developing and implementing an annual economic development and visitation
management strategy in coordination with Community Development.
• Providing in -kind support and collaboration with partner organizations, including
the Alaska Small Business Development Center (SBDC).
• Promoting business development, workforce attraction, and year-round economic
vitality through marketing, outreach, and industry engagement.
• Supporting sustainable tourism practices and coordination with local
stakeholders, including the harbor, cruise industry, the greater community and
businesses.
SECTION 4— REPORTING
SCC-CVB will meet with the City Manager quarterly to report on its activities and
accomplishments under this Agreement. In addition, SCC-CVB shall meet quarterly
with the City Manager (or designee) to review progress, discuss upcoming priorities,
and collaboratively identify opportunities for coordination related to Chamber
programs, visitor services, destination marketing, and economic development
activities.
These quarterly check -ins are intended to ensure regular communication, alignment
of goals, and ongoing collaboration between the City and SCC-CVB.
SECTION 5— COMPENSATION
SCC-CVB shall be paid Four Hundred Thousand Dollars ($400,000) per year for the
services outlined in Section 3 of this Agreement. This Agreement shall be for a term
of five (5) years with a flat base funding amount, and shall include provisions for an
annual funding adjustment in alignment with the Anchorage Consumer Price Index for
All Urban Consumers (CPI-U).
The City shall pay this amount in two prorated installments each year, due on
January 1 and July 1.
Supplemental Budget Requests. SCC-CVB shall submit any budget requests for
services not specifically covered under this agreement by Oct 1 of each year for
consideration in the City of Seward operating budget for the fiscal year beginning on
Jan 1. Budget requests should be of sufficient detail to be considered by the City and

should include backup information and an explanation of why SCC-CVB desires
additional compensation or funding, and why the services are required. The City is
under no obligation to approve supplemental budget requests.
SECTION 6— MODIFICATION/ AMENDMENT
This Agreement may not be modified or amended except by writing signed by both
parties hereto.
SECTION 7— EQUAL EMPLOYMENT OPPORTUNITY
SCC-CVB shall operate in compliance with all federal, state, and local equal
employment and civil rights laws and regulations.
SECTION 8— PERMITS, LAWS AND TAXES
SCC-CVB shall acquire and maintain in good standing all permits, licenses, and other
entitlements necessary to the performance of this Agreement. All actions taken by
SCC-CVB under this Agreement shall comply with all applicable statutes, ordinances,
rules, and regulations. SCC-CVB shall collect and/or pay, if applicable, any taxes
pertaining to its performance under this Agreement.
SECTION 9— RELATIONSHIP OF THE PARTIES
This Agreement is not intended to create, and nothing herein should be construed to
create a joint venture or any agency relationship between the City and SCC-CVB.
SECTION 10— CONTRACT ADMINISTRATION
The Seward City Manager, or the Manager's designee, shall be the representative for
administering this Agreement on behalf of the City. The Executive Director of SCC-
CVB shall be the representative for administering this Agreement on behalf of the
Seward Chamber of Commerce and CVB.
SECTION 11— INTEGRATION
This Agreement contains the entire agreement of the parties. All prior negotiations,
statements, representations, warranties, and assurances, whether oral or written and

which are in any way related to the subject of this Agreement, are merged and
integrated in this Agreement.
SECTION 12— INTERPRETATION AND ENFORCEMENT
This agreement is being executed by the parties' following negotiations between
them. Accordingly, any rule of construction or interpretation allowing for
construction or interpretation against the drafter of this Agreement shall not apply.
The Agreement shall instead be construed according to the fair intent of the
language, not for or against any party. The titles of sections in this Agreement are
solely for convenience of reference and shall not affect the meaning, construction,
or effect of this Agreement.
SECTION 13— TERMINATION
This Agreement may be terminated by either party serving upon the other 90 days
prior written notice of termination of the Agreement. If the City terminates this
agreement, the City agrees to pay for reasonable expenses already incurred at the
time of notification of termination.
SECTION 14— LIABILITY
SCC-CVB shall defend, indemnify and hold harmless the City, its officials, employees,
agents and contractors from any and all liability (including attorney fees) or claims for
damages, including personal injuries, environmental damage, death and property
damage arising out of or resulting from the SCC-CVB's use of the City's funds or SCC-
CVB's actions taken pursuant to this Agreement, including the SCC-CVB's employees,
assignees, contractors, agents or the public.
SECTION 15— INSURANCE
Prior to disbursement of any funds by the City, SCC-CVB shall procure and maintain,
at the Chamber's sole cost and expense, comprehensive commercial general liability
insurance with limits of liability of not less than TWO MILLION DOLLARS ($2,000,000)
for all injuries and/or deaths resulting to any one person and ONE MILLION DOLLARS
($1,000,000) limit from any one occurrence. SCC-CVB will add the City to its general
liability insurance as an Additional Insured. SCC-CVB shall maintain, at SCC-CVB sole
cost and expense, workers' compensation insurance as required under Alaska law.

All insurance policies shall provide for thirty (30) days' notice of cancellation and/or
material change to be sent to the City. The minimum insurance requirements under
this Agreement shall not act to limit the SCC-CVB's liability for any occurrence and
shall not limit SCC-SVB's duty to defend and indemnify the City for claims related to
this agreement
SECTION 16— UNDERSTANDING
SCC-CVB acknowledges that its governing board has authorized the Director to sign
this Agreement.
SECTION 17— SEVERABILITY
This Agreement may be executed in more than one counterpart, each of which shall
be deemed to be an original but all of which taken together shall be deemed a single
instrument. This Agreement shall be effective upon the signature of both parties

and termination of the contract.

with staffing needs, facility operations, and destination marketing efforts.
The percentage column indicates the portion of each total expense that is
attributable to services performed under the City contract. For example, while
certain positions represent full annual salaries funded through multiple revenue
sources, only the percentage shown reflects the share of that cost dedicated to City -
contracted services. This approach provides transparency in how City funds directly
support the delivery of visitor services, destination marketing, and economic
development on the City's behalf.
AREAS OF INCREASE:
• Visitor Center Staffing: Visitation doubled from 2024 to 2025, with nearly 3,000
visitors in July alone. Anticipated growth in cruise traffic requires additional
staffing to adequately serve the Visitor Center, Derby Booth, and Cruise Ship
Terminal.
• Building and Interior Upgrades: Increased visitation, rising utility costs, and
general wear on the facility require additional investment in maintenance and
interior improvements so the Visitor Center can function properly and better
reflect Seward's story and community character.
• Destination Marketing Et Communications: Higher visitation requires increased
print quantities of the Destination Guide, along with an anticipated 8% rise in
printing costs and a $12,000 increase in website expenses. Cost impacts are
partially offset by bringing guide design in-house and discontinuing the Crowdriff
platform.

I would like to put forward an ordinance to Title 8 to limit the number of marijuana establishment
licenses based on population as it is with liquor licenses. One per 3000 population to approximately
mirror the liquor license numbers.
I would also like to address marijuana on -site consumption being allowed indoors only, and not
allowing drive thru cannabis sales.
Rough draft of proposed ordinance in city code:
(new) 8.25.035 — Marijuana Regulations
A. The number of marijuana retail licenses shall be limited based on population.
B. The state agency's endorsement for on -site consumption will only be allowed indoors.
C. The use of drive thru window for cannabis sales is prohibited.
COUNCIL ACTION
With a majority vote, Council can direct appointed officials to draft an ordinance amending the
marijuana regulations and be brought back for introduction and enactment.
