CITY OF SEWARD, ALASKA
RESOLUTION NO. 96-103
A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF SEWARD, ALASKA, AUTHORIZING THE LEASE OF CERTAIN
LANDS WITHIN BLOCK 6, FOURTH OF JULY PRELIMINARY
PLAT, KPB NO. 93-087, SEWARD MARINE INDUSTRIAL CENTER,
TO GLACIER COMMUNICATIONS, INC.
WHEREAS, in order to encourage investment and employment opportunities within the
community of Seward, the City Council has determined that the continued development of the
Seward Marine Industrial Center is in the public interest; and
WHEREAS, Glacier Communications, Inc., proposed to enter into a long term lease
agreement with the City of Seward for the purpose of the development and operation of a radio
communications tower for an AM and FM broadcast station on the above-identified site; and
WHEREAS, the City of Seward and Glacier Communications, Inc., have concluded their
negotiation of the lease agreement; and
WHEREAS, it is the intent of this lease to relieve the City of Seward of the entire burden
of compliance with present or future environmental regulations or controls with respect to thc
Lessee's operation son or adjacent to the leased land during the lease term;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF SEWARD, ALASKA, that:
Section 1. The long term lease (fifteen years with two 5-year extension options) of
approximately 10,000i: square feet of city property preliminarily described as a tract of land located
in the southeast comer of Block 6, as identified in the Fourth of July Preliminary Plat, KPB No. 93-
087, within the City of Seward, State of Alaska, to Glacier Communications, Inc., for the
development and operation of an AM and FM broadcast radio station tower site, is hereby
APPROVED. A copy of the essential terms and conditions of the lease is attached and incorporated
herein by reference.
Section 2. The City Council finds that it is in the public interest to waive appraisal of the
subject property and to negotiatt: disposition of the property under the terms and conditions outlined
in the attachment to this resolution referenced in Section I, above.
Section 3. The above referenced lease is subject to suspension during the first thirty days
after passage and posting of this resolution if a sufficient referendary petition is filed in accordance
with Section 4.8 of the City Charter.

Section 4. The City Manager is hereby authorized and directed to execute the lease
agreement on behalf of the City on the date it becomes effective.
Section 5. This resolution shall take effect thirty days after passage and posting as required
by law.
PASSED AND APPROVED by the City Council of the city of Seward, Alaska, this 26th
day of August, 1996.

ESSENTIAL TERMS & CONDITIONS OF LEASE

The proposed lease area is a parcel measuring 10,000 square feet
(100' x 100'), more or less, located at the comer ofDelphin Street and
Sorrel Road, Seward Marine Industrial Center, identified as Parcel 2-
9 on Exhibit A attached hereto. (Article 1)
The site will be surveyed at the Lessee's expense. (Article 1)
The term of the lease will commence on the effective date of this
resolution and will run for fifteen years through September 24,2011,
with two five-year options to extend the agreement. (Article 2)
The lease rate is based on the fair market value of the land established
in a 1995 appraisal: $0.04 per square foot; $400 annually. (Article 3)
Minimum insurance requirements are $1,000,000 of comprehensive
liability insurance naming the City of Seward as an additional named
insured. (Article 17)
The parcel is proposed for lease for the purpose of establishing a
tower site for an AM and FM broadcast radio station. Lessee, at its
sole cost and in a timely manner, will enclose the leased land with a
cyclone-type wire security fence not less than six feet in height.
