RESOLUTION NOo 93-040
A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF SEWARD, ALASKA, APPROVING A PROFESSIONAL SERVICES
AGREEMENT FOR TRANSMISSION LINE INSPECTION SERVICES
WHEREAS, the city administration has completed its search for a contractor to
provide inspection services for Phase I-B of the transmission line construction; and
WHEREAS, the provision of professional services is specifically exempted from city
bid procedures; and
WHEREAS, the proposed contractor has been determined to be qualified and the
rates charged have been found to be reasonable; and
WHEREAS, funds for this contract are available in the transmission line
construction account;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF SEWARD, ALASKA, that:
Section 1. The City Manager is hereby authorized to enter into a professional
services agreement with James Luttropp to provide inspection services for Phase I-B
Transmission Line Construction for an amount not to exceed $64,336. A copy of the
agreement is attached and incorporated herein by reference.
Section 2. This resolution shall take effect immediately upon its adoption.

CONTRACTUAL AGREEMENT FOR THE INSPECTION OF
SEWARD TRANSMISSION LINE, PHASE IB CONSTRUCTION
THIS AGREEMENT, entered into this_day of .1993, by and between the
City of Seward, a municipal corporation, organized under and operating pursuant to the
laws of the State of Alaska, hereinafter referred to as the "City"; and
hereinafter referred to as the "Contractor" as follows:
WHEREAS, said Contractor has, offered to inspect the Phase IB Construction of the
Seward Transmission Line in accordance with this Agreement;
NOW THEREFORE, IT IS AGREED BY AND B~TWEEN THE CITY AND SAID
CONTRACTOR, that:
1. The Contract to perform inspection of construction of an electrical transmission
line is hereby awarded to said Contractor. The Contractor will be paid by the
City at the rate of $30.00/hr with an additional payment of $5.00/hr. for all hours
worked if the Contractor remains to the end of the project. In addition, a
~"OO/month living allowance shall be paid.
2. The Contractor will comply with the terms and provisions of said agreement and
will follow regulations of the City of Seward in connection therewith.
3.
The Contractor shall not assign or transfer this contract without prior written
consent of the City.
4. The Contractor shall be furnished a City vehicle. The vehicle shall at all times
throughout the term of the contract be operated and maintained in proper and
safer working order to minimize risk of injury to persons and property. The use
of the vehicle shall be limited to work related travel. Personnel use of the vehicle
is specifically prohibited.
5. The Contractor shall inspect all sections of the electrical transmission, distribution
and service line as directed by the City.

The Contractor shall furnish to the City Clerk one Certificate of Insurance,
property executed by a duly-authorized official of the insurance agent or
underwriter (with the stipulation that the City of Seward, as certificate holder, will
be given 15 days notice of intent to cancel), evidencing a minimum: (a) not less
$500,000 of bodily injury liability coverage per individual, not less than
$1,000,000 per accident or occurrence, and not less than $500,000 of property
damage liability coverage (such Certificate of Insurance to clearly indicate that the
document of indemnity required pursuant to the provision of the following
subparagraph have been incorporated into and made a part of the applicable
insurance policy).

The Contractor shall also furnish to the City Clerk an executed document of
indemnity saving the City of Seward harmless against any loss or damage due to
the negligence of the Contractor, naming the City as a named-insured therein.
(The executed document ofindemnify is attached to this Agreement and is hereby
incorporated into and made a part hereof).
7. The Contractor shall supply the City an accurate record of inspection services
performed as directed by the City.

9. The terms and conditions of this Contractual Agreement may be declared
terminated, null and void, at any time by written mutual consent; provided,
however, that in the event of such a prior termination hereof, such termination
shall take effect not sooner that 2 weeks after the date of said written mutual
consent, unless an earlier day is acceptable to the City.
10. The City may terminate this Agreement at any time if the Contractor defaults in
any of his provisions, or if the Contractor fails to provide the services required by
this Agreement in a proper and workmanlike manner.
11. The City may at its discretion offer to extend this Contract for an additional time
under the same terms and agreements, if more time is required to complete the
project. If the City makes such an offer, the Contractor will have not more than
30 days to accept or refuse the offer.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement, the City
of Seward by its City Manager and City Clerk, as instructed by the City Council of the
City of Seward, Alaska, at its regular meeting of , with the
