HomeMy WebLinkAboutRes1989-007 . . . sponsored by: Rovle CITY OF SEWARD, ALASKA RESOLUTION NO. 89-007 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SEWARD, ALASKA, ACCEPTING AMENDMENTS TO THE BYLAWS OF THE ALASKA MUNICIPAL LEAGUE JOINT INSURANCE ASSOCIATION WHEREAS, the interim Board of Trustees of the Alaska Municipal League Joint Insurance Association passed a motion at a meeting held November 15, 1988 in Fairbanks, Alaska to pro- pose amendments to the bylaws of the Association; and WHEREAS, the Trustees presented two bylaw amendments to the Participants at the annual meeting of November 16, 1988 in Fairbanks, Alaska~ and WHEREAS, the bylaws of the Association require such pro- posed amendments to be approved by a Resolution adopted by not less than two thirds of the Participants of the Association; NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF SEWARD, ALASKA, that: Section 1. The following amendments to the bylaws of the Alaska Municipal League Joint Insurance Association, Inc. are hereby accepted: A. Amendment A. Sections 2(b) and 2(c) of Article 6 of the bylaws of the Alaska Municipal League Joint Insurance Association, Inc. are amended to read as follows: (b) The first Board of Trustees shall be appointed by the AML Board of Directors for the following terms: Two members shall serve a one-year term; Three members shall serve a two-year term; Two members shall serve a three-year term. The first appointed Trustees shall meet the qualifications set forth in subsection (c) of this section. After the ex- piration of the terms of the first Trustees, the successors shall serve for the terms specified in subsection (c). The Executive Director of the AML shall serve as an ex officio, non-voting initial Trustee for a term concurrent with his or her tenure as the AML Executive Director. (c) After the expiration of the terms of the ini- tial Board of Trustees, the Board of Trustees will consist of seven members appointed by the AML Board of Directors 1 . . . CITY OF SEWARD, ALASKA RESOLUTION NO. 89-007 for two-year staggered terms. Each Trustee shall hold office until the annual meeting at which his or her suc- cessor is appointed. The Trustees will consist of the following: (1) Two (2) AML Board Members; and (2) Five (5) individuals, including appointed or elec- ted officials from local public agencies, appointed for their expertise in insurance, finance administration, risk management, law, or other areas of expertise deemed appro- priate by the AML Board. (3) The Executive Director of the AML shall serve as an ex officio, non voting member of the Board of Trustees for a term concurrent with his or her tenure as the AML Executive Director. (4) Not less than four members of the Board of Trustees shall be representatives of Participants. Consideration shall be given to geographic and population distribution when Trustees are appointed. (5) Individuals interested in serving on the Board of Trustees must submit a completed application in a form approved by the Trustees not less than ninety (90) days before the annual meeting. B. Amendment B. Article 14 of the bylaws of the Alaska Municipal League Joint Insurance Association, Inc. is amended to read as follows: ARTICLE 14 - WITHDRAWAL FROM PARTICIPATION A Participant may withdraw from the Association, subject to the provisions of these bylaws and of the Cooperative participation Agreement. A Participant may not withdraw from participation until after a three year period. The period commences on July 1, 1988 for Participants executing the Agreement prior to that date and on July 1 of the calendar year in which coverage commences for Participants executing the Agreement on or after July 1, 1988. After sucb three year period, any withdrawal by a Participant shall be effective only at the end of the fiscal year, and only after giving the Association not less than six (6) months written notice of intent to withdraw. The first opportuni ty to provide such notice of intent to withdraw shall be not less than six (6) months prior to the expir- ation of the initial three year period. Such withdrawal shall not exonerate a withdrawing Participant from lia- bilitiesincurred during the term of its participation, or pursuant to the Cooperative participation Agreement. 2 . . . CITY OF SEWARD, ALASKA RESOLUTION NO. 89-007 C. Brrective Date. These bylaw amendments shall become effective on approval of a Resolution of the Board of Trustees after receipt of resolutions indicating approval from two- thirds of the participants. section 2. The Clerk is hereby directed to send a copy of this Resolution to the Board of Trustees of the Alaska Municipal League Joint Insurance Association as notice of this municipality's official vote on the proposed bylaw amendments. section 3.
