RESOLUTION 2006-104
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SEWARD,
ALASKA, AUTHORIZING THE CITY MANAGER TO ENTER INTO A
LEASE AMENDMENT WITH THE SEWARD CHAMBER OF COMMERCE,
CONFERENCE AND VISITORS BUREAU, INCORPORATED TO
CORRECT THE LESSEE'S NAME AND EXTEND THE TERM OF THE
LEASE FOR THE LEASE OF LOT 11, BLOCK 6, SEWARD SMALL BOAT
HARBOR SUBDIVISION, SEWARD RECORDING DISTRICT, THIRD
JUDICIAL DISTRICT, STATE OF ALASKA
WHEREAS, the Seward Chamber of Commerce, Conference and Visitors Bureau,
Incorporated ("Lessee") seeks to extend the term of its existing lease agreement ("Lease") with the
City of Seward for Lot 11, Block 6, Seward Small Boat Harbor Subdivision, Seward Recording
District, Third Judicial District, State of Alaska; and
and
WHEREAS, the current lease has been in eJTcct since October 2,2002, as amended in 2005;
WHEREAS, the Lessee made improvements on the site to meet current building and fire
~ codes; and
WHEREAS, Lessee's correct legal name should be reflected in the Lease.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF SEWARD, ALASKA, that:
Section 1. For the reasons stated in the above recitals, it is in the public interest to enter into
a second amendment to the Lease dated October 2, 2002 with the Seward Chamber of Commerce,
Conference and Visitors Bureau, Incorporated extending the term of the Lease and correcting the
legal name of the Lessee.
Section 2. The City Manager is hereby authorized to enter into a lease amendment in
substantial form as attached hereto and i Ilcorporatecl herein by reference, znd to make such changes
to the attached Lease Amendment No.2 as necessary to finalize the Lease amendment between the
parties but without changing the substantial terms and conditions as described therein.
Section 3. This resolution shall take effect thirty (30) days after its adoption and posting.
PASSED AND APPROVED by the City Council of the City of Seward, Alaska, this 10th
day of October, 2006.

Agenda Item: Amending the Lease with the Seward Chamber of
Commerce, Conference and Visitors Bureau,
Incorporated for Lot 11, Block 6, Seward Small Boat
Harbor Subdivision
BACKGROUND & JUSTIFICATION:
The Seward Chamber of Commerce entered into the current lease with the City of Seward for the
derby site on October 2, 2002, as amended in 2005. This Lease encompasses Lot 11, Block 6 of the
Seward Small Boat Harbor Subdivision. The Seward Chamber of Commerce requests the City
Council to amend the lease to extend the term to 2021 with an option to extend for an additional five
years, and to correct the name of the Lessee to reflect the complete legal name of “Seward Chanber
of Commerce, Conference and Visitors Bureau, Incorporated.” The resolution and lease amendment
presented at this meeting extends the term of the Lease and correct the name accordingly. If
approved by City Council, the lease amendment will be effective in 30 days.
CONSISTENCY CHECKLIST:
Where applicable, this resolution is consistent with the Seward City Code, Charter, Comprehensive
Plans, Land Use Plans, Strategic Plan and City Council Rules of Procedures.
FISCAL NOTE:
The amendment will have no fiscal effect.
