RESOLUTION 2005-92
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
SEWARD, ALASKA, AUTHORIZING THE CITY MANAGER TO
NEGOTIATE AND ENTER INTO A CONTRACT WITH THE
UNITED STATES ARMY CORPS OF ENGINEERS TO CONDUCT
A FEASIBILITY STUDY RELATING TO THE WATERS IN
RESURRECTION BAY NEAR THE SEWARD MARINE
INDUSTRIAL CENTER
WHEREAS, the U.S. Army Corps of Engineers ("USACOE") has the authority
to enter into a Feasibility Cost Sharing Agreement ("FCSA") for the Seward Marine
Industrial Center; and
WHEREAS, USACOE's authority to enter into a FCSA may expire by the end of
the federal fiscal year which is September 30,2005; and
WHEREAS, the USACOE has notified the City that it expects to have difficulty
entering into new FCSA's without special authorization after September 30, 2005; and
..... WHEREAS, the essential terms and conditions of a FCSA are in the form as
presented at this meeting provided that the City Manager or his designee will continue to
negotiate with regard to the details of a final agreement; and
WHEREAS, any agreement would be subject to future appropriations by the City
and a contribution by the State of up to 50% of the City's share;
WHEREAS, the study to be prepared under the FCSA is estimated to cost up to
One Million Nine Hundred Ninety-five Thousand Dollars ($1,995,000.00); and
WHEREAS, the costs are expected to be allocated 50% to be paid by the federal
govermnent and 50% to be paid by the City of Seward; and
WHEREAS, the Acting State Harbors Engineer has requested Five Hundred
Thousand Dollars ($500,000.00) in the upcoming state budget to allow the state to
contribute up to 50% of the City's share.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
THE CITY OF SEWARD, ALASKA that:

Section 1. The City Manager is hereby authorized to enter into an agreement in
substantially the form presented at this meeting, to accept on behalf of the City, a $2
million grant from the State of Alaska Department of Commerce, Community and
Economic Development.
Section 2. This resolution shall take effect immediately upon its adoption.

Agenda Item: Resolution to Authorize the City Manager to
Negotiate and Enter Into a Contract with the United
States Corps of Engineers for a Feasibility Study.
BACKGROUND & JUSTIFICATION:
The City has been communicating with the United States Corps of Engineers ("USACOE") and the
State of Alaska, State Harbors Engineer. We have been discussing and pursuing the possibility of
having a feasibility study conducted in Resurrection Bay near the Seward Marine Industrial Center
("SMIC") related to wave action near SMIC. A preliminary scope of work has been drafted and an
initial cost estimate has been determined to be One Million Nine Hundred Ninety Five Dollars
($1,995,000.00). As further discussion continues it may be possible to reduce this amount.
Although the Agreement is not in complete and final form, it is necessary for the City to adopt the
essential terms and conditions of this Agreement to allow the Corps of Engineers to approve the
Agreement, including a proposed project management plan, prior to the end of the federal fiscal year
which is September 30, 2005. The project management plan is not binding but serves as a guideline
for all of the parties. It is subject to change.
The State of Alaska Acting State Harbors Engineer, Ruth Carter, has included in the upcoming state
budget a request for approximately Five Hundred Thousand Dollars ($500,000.00) to contribute as
part of the City's share for this feasibility study. The State has indicated a willingness to contribute
half of the City's share. The cost would then be allocated as follows: 50% by USACOE, 25% by the
City and 25% by the State of Alaska. The agreement allows the City's share to be provided in cash or
in kind and the City would not incur any costs until the costs were authorized to be appropriated by
the City Council at a later date.

RECOMMENDATION:
The administration recommends approval of Resolution 2005-____ authorizing the City Manager to
negotiate and enter into a contract with the United State Corps of Engineers to conduct a feasibility
study.
