SPECIAL MEETING NOTICE
Pursuant to Seward City Code 2.10.030 (2), this is to serve as the written notice
calling a Special City Council Meeting on Thursday, July 26, 2018 at 5:30
p.m. for the purpose of:
Resolution 2018-065, Accepting The Resignation Of City
Manager James Hunt And Setting The Terms For His
Departure From City Employment.
Discussion of hiring process, deadlines, and appointment of
members to negotiate a contract for an interim city manager:
1. Memorandum by city clerk
2. City manager job description
3. Seward city manager public recruitment notice for
advertising in the newspapers
4. Interim city manager contract (example enclosed for
Marvin Yoder dated December, 2006)
Discuss the process for advertising and hiring an Interim City
Manager, and direct the city clerk to advertise for the
position.
Schedule a work session to conduct public interviews for
Interim City Manager applicants.
Direct the City Manager to coordinate with the Division of
Community and Regional Affairs (DCRA) to schedule a
review of administration, personnel, and city council by a
Local Government Specialist. Direction previously given May
29, 2018.
The meeting will commence in the City Council Chambers, City Hall, 410
Adams Street, Seward. All interested persons are invited to attend the meetings.

RESOLUTION 2018-065
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SEWARD,
ALASKA, ACCEPTING THE RESIGNATION OF CITY MANAGER JAMES
HUNT AND SETTING THE TERMS FOR HIS DEPARTURE FROM CITY
EMPLOYMENT
WHEREAS, on October 10, 2011, the City Council approved an employment agreement
with James Hunt for City Manager services; and
WHEREAS, at the July 23, 2018 Seward City Council meeting, City Manager James Hunt
tendered his resignation; and
WHEREAS, the letter of resignation provided thirty (30) days’ notice, which is in keeping
with his current contract (Amendment #4), and will become effective on August 22, 2018; and
WHEREAS, the Seward City Council will accept James Hunt’s wishes and allow for
termination.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF SEWARD, ALASKA that:
Section 1. The employment agreement between the City of Seward and James Hunt for City
Manager services shall terminate on August 22, 2018.
Section 2. Upon conveyance to the City of all files and property in his possession, Hunt shall
be paid all sums due him for time worked and any accumulated vacation leave as required by city
code, Charter, and the employment agreement.
Section 3. This resolution shall take affect immediately upon its adoption.

RESOLUTION 2011 -075
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SEWARD,
ALASKA, APPROVING AN EMPLOYMENT AGREEMENT WITH JAMES
HUNT FOR CITY MANAGER SERVICES
WHEREAS, on June 13, 2011 City Manager Phillip Oates submitted his resignation
effective September 30, 2011; and
WHEREAS, City Council accepted Oates' resignation by Resolution 2011-054 on June 27.
2011; and
WHEREAS, the Council advertised the position ofCity Manager for four weeks in July, and
conducted public meetings and interviews to fill the position of City Manager; and
WHEREAS, during a special meeting on October 3, 2011, City Council approved a motion
to offer the position to James dependent on successful contract negotiations, a successful drug test,
and a criminal background check; and
WHEREAS, Council appointed a committee of three to negotiate the terms of the contract;
and
WHEREAS, negotiations have been completed and James Hunt has accepted the City's offer
of employment beginning November 1, 2011 or sooner for a monthly salary of $8,083.00.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF SEWARD, ALASKA, that:
Section 1. The employment agreement between the City of Seward and James Hunt, in the
form presented at this meeting, to provide city manager services to the City for a three -year period
beginning November 1, 2011 or earlier, is hereby approved.
Section 2. This resolution shall take effect immediately upon adoption.

Employment Agreement
City Manager Services for James Ilunt
This agreement approved by the City Council of the City of Seward, effective November 1, 2011orsooner, is between the City of Seward, Alaska, whose address is P.O. Box 167, Seward,Alaska 99664 ( "City ") and James Hunt, whose address is 1 076 East Mystery Drive, Kuna, Idaho83634 ( "Hunt "). The City agrees to employ Hunt as City Manager on an at -will basis. Thisagreement shall continue for approximately three (3) years until October 31, 2014 unlessextendedbymutualagreementoftheparties, or terminated as provided below.
1. Hunt agrees to devote full time on behalf of the City and not engage in any otherbusiness.
2. Hunt shall be paid at the rate of $8,083.00 per month. The City Council agrees toreviewHunt's performance annually.
3. Hunt shall accrue annual leave and holidays in accordance with Chapter 3.45 and3.50 of the Seward City Code. Hunt shall be covered by the standard City healthinsuranceandretirementplans. He shall receive credit for annual leave accrued at therateof13hourspermonth.
4. Hunt shall be paid $5,000 for relocation and moving expenses. If expenses gobeyondthisamount, Hunt will be allowed an additional $2,500 provided receipts forrelocatingandmovingareprovided. He is required to reside within the city limits.
5. Because of the peculiar nature of the City Manager position, it is agreed that theCity's business can only succeed if the City Manager and the City Council enjoy aworkingrelationshipbasedonmutualrespect, trust and positive attitudes. It may,therefore, be impossible to quantify "poor performance" or `just cause" forterminationgiventhesecomplexities which often involve personality factors asopposed to legal or contractual factors. It is therefore the intent of both the City andHunt, to provide for termination by either the City or Hunt without resort to anydeterminationofcauseoranynecessaryexplanation by the City.
Accordingly, this agreement may be terminated as follows:
a) By Hunt for any reason or no stated reason upon giving sixty (60) dayswrittennoticetotheCity. Upon receipt of notice, the City may immediatelyterminatetherelationshiporrequireHunttocontinueforaperiodnottoexceedsixty (60) days at his regular rate ofpay from the date of receipt ofthenotice. The City shall make the election promptly and within twenty-five (25)

days of the receipt ofnotice, and the City's failure to make an election shall bedeemedaselectiontoterminatetherelationshipthirty (30) days from the date
of receipt of the notice. If the relationship is so terminated, the City shall notberesponsibleforanyseveranceorterminationpay, Hunt shall be entitled tohisannualleavebalanceto the date of termination.
b) By the City for any reason or no stated reason upon giving written notice to
Elunt the City may at its option, terminate the relationship immediately. TheCityshall pay Hunt four (4) months' severance pay upon his termination.
This agreement is the entire agreement and wherever approval of the City is required it isunderstoodthatsuchapprovalwillbebytheCityCounciloftheCityofSeward. This
agreement supersedes any previous agreement and may be modified only in writingsignedbyeachoftheparties. This agreement will be interpreted and enforced in Alaska .in accordance with the laws of the State of Alaska and is subject to all applicable CharterandordinanceprovisionsoftheCityofSeward; provided that no provisions of Title 3 oftheSewardCityCodeshall apply except those provisions expressly identifying the citymanagerandexceptforthefollowingenumeratedprovisions: 3.15.085 longevity,3.15.090 retirement, 3.15.095 insurance and medical benefits, 3.45 annual leave, 3.50holidays, 3.60 special provisions (except as set forth in Paragraph 4 above), 3.70 drug andalcoholpolicy, 3.75 sexual harassment policy, and 3.80 workers' compensation.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SEWARD,
ALASKA, APPROVING AN AMENDMENT TO THE EMPLOYMENT
AGREEMENT WITH THE CITY MANAGER
WHEREAS, Jim Hunt has been employed as the City Manager since October 31, 2011; and
WHEREAS, the City Manager does not participate in standard employee merit step
increases or COLA as outlined in the Seward City Code, and any increase in pay, annual leave
accrual or severance must be made by an amendment to the employment agreement; and
WHEREAS, Hunt's contract states that the City Council agrees to review Hunt's salary
annually and upon a favorable review on the standard City Manager Evaluation and by Council
receive a salary increase; and
WHEREAS, per a satisfactory evaluation, the City Council agrees to give Hunt an increase
in salary to one hundred and five thousand dollars ($105,000) effective pay period beginning January
28, 2013 and increase any severance package to nine (9) months; and

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF SEWARD, ALASKA, that:
Section 1. Amendment No. 1 to the City Manager's employment agreement dated October
10, 2011 between the City of Seward and Jim Hunt, which increases Hunts' annual salary to one
hundred and five thousand dollars, ($105,000) is hereby approved and Hunts' severance package
increased to nine (9) months.
Section 2. The effective date of this increase shall be January 28, 2013.
Section 3. This resolution shall take effect immediately upon its adoption.

Section 3. The effective date of this increase shall be February 10, 2014.

1120-6100) by $111, for a total budget increase of$9,999, with funding from the General Fund
undesignated fund balance account no. 01000-0000-3400.
Section 3. The effective date ofthis increase shall be retroactive to November 1,2014. The
effective date of the four year employment agreement shall be effective January 26, 2015.

Agenda Item: Amendment No. 4 to City Manager Employment Agreement
BACKGROUND &JUSTIFICATION:
The City Council approved an Employment Agreement with city manager James Hunt on October
10, 2011 via Resolution 2011- 075. The city manager position is a contracted position and is
therefore not subject to the City's pay plan. As such, all adjustments to salary and benefits are
negotiated annually during the city manager's performance review.
The attached Amendment No. 4 to the Employment Agreement consists of the following
modifications: 1) the annual pay is increased by $6,000, equal to an increase in hourly pay from
55.64 to$58.53;2)the amount ofnotice the parties are required to give in the event oftermination
of the agreement is reduced from sixty (60)to thirty(30) days; 3)the City will make a deposit of
5,000 into the ICMA deferred compensation account on behalf of Mr. Hunt; and 4) the city
manager will be allowed to hold an interest in another business, if approved by the City Council.
INTENT:
To amend the employment contract with the city manager upon successful performance evaluation.

RE: Interim City Manager Hire
On Monday, July 23, 2018, city manager Jim Hunt submitted his letter of resignation to city council,
effective Wednesday, August 22, 2018. The next step is for the city council to accept the city
manager’s resignation and begin to process of hiring a new city manager.
Following is some information for council to consider:
July 26, 2018 Special Meeting:
1. Approve Resolution 2018-065 to accept the resignation of city manager James Hunt.
2. Review the current city manager job description and make amendments, as necessary, by
motion/second and UC/vote.
3. Review the draft public notice advertisement for the Interim City Manager hire and make
amendments, as necessary, by motion/second and UC/vote.
4. Review the Interim City Manager contract and make amendments, as necessary, by
motion/second and UC/vote. A blank sample has been included, as well as Marvin Yoder’s
2006 contract for reference.
5. Select a background/reference team comprised of 2-3 council members.
6. Select a contract negotiation team comprised of 3 council members.
Advertising Options:
1. Seward Journal publishes weekly on Wednesdays.
2.ADN publishes daily.
3. Online advertising can include MyAlaska, ICMA, AML, IIMC, and AAMC, among others,
and advertising can be activated at will.
Future Considerations:
1. If council chooses to hire an Interim City Manager, then the next step beyond that would be
to seek and hire a permanent city manager. Further discussions will be had to determine the
scope and frequency of advertising the permanent position, setting the deadline for
applications, reviewing and revising the interview questions, scheduling interviews, selecting

Summary:
Serves as chief executive officer of the city and is responsible for the effective, safe, and efficient
administration of all City services through the supervision of subordinate administration department
heads. Performs duties under the directives of City laws and ordinances and within policy guidelines
from the City Council.
Essential Duties and Responsibilities:
Directs the internal administration and operation of all City departments through subordinate
department heads.
Approves expenditures, policies, procedures, and internal controls for the departments under his/her
control.
Develops an effective risk management and business continuity plan to ensure uninterrupted
availability of city utilities and emergency services.
Serves as the Emergency Manager of the City.
Develops a comprehensive and effective emergency operations plan and fully trains the staff to
execute the plan
Provides timely and continuous information and updates to the Council about actions, initiatives,
operations, and incidents occurring in the City.
Recommends changes to the Council for departments and plans under his/her control; executes and
enforces changes approved by the Council.
Works with the Council to develop short-term and long-term goals, and objectives for the City
Coordinates the activities of the City’s state and federal lobbyists
Seeks State and Federal grants, appropriations, and low-interest loans to improve City infrastructure
and services

Pursues economic growth and development in the City of Seward
Appoints, lays off, suspends, demotes or removes all administrative department heads, officers and
employees of the City subject to personnel system regulations, and personnel law. Approves all
personnel transactions within city work force.
Signs City-approved contracts, leases and agreements authorized by the City Council.
Recommends to the Council sale and lease of materials, property, equipment and real estate of the
City.
Negotiates such contracts and leases as the Council may authorize.
Recommends to the Council a schedule of fees and rates of all types of services performed by the
departments under his/her control. Establishes such fees and rates as Council may direct.
Prepares and submits biennial operating and capital budgets to the City Council; administers the
budget and recommends changes to the City Council.
Attends City Council meetings and presents administrative data and makes recommendations on
policy and other desirable actions for consideration of the Council; advises the Council of the
financial condition and future needs of the City.
Prepares and submits regular department reports to the council.
Performs such duties as may be required by the charter or as the Council may require.
Supervisory Responsibilities:
Directly supervises Assistant City Manager, Executive Liaison, MIS Systems Manager and
department heads. Carries out supervisory responsibilities in accordance with the City's policies and
applicable laws. Responsible for the evaluations of the City's department heads, Assistant City
Manager and Executive Liaison.
Qualification Requirements:

SEWARD, ALASKA
The City of Seward, Alaska is recruiting for an Interim City Manager.
$20 Million + budget; 96 year-round employees; home rule city with Mayor and six Council
Members; area wide year-round population 5,000, summer 10,000. Services include fire, police,
library, harbor, electric, water/wastewater, streets, parks & recreation.
Seward is Alaska’s third largest visitor destination with an average of 50 cruise ship calls and
300,000 visitors annually. Located 120 miles south of Anchorage, via a National Scenic Byway,
with the state’s busiest harbor, the best viewable glacier, and a busy cruise ship port. Seward is
experiencing strong growth, has a healthy and diverse business community, and is both
benefiting and challenged by that growth.
Requirements include a Masters degree in Public/Business Administration preferred or a
Bachelor’s Degree in Public/Business Administration; and five years experience in a senior
management position, preferably in the public sector; or equivalent. Ideal candidate has varied
experience in finance, project management, community development, tourism impacts, and
human resources with strong communication skills. Growth and utility management skills are
desirable as is a strong record in local government management success, and candidate must be
familiar with Title 29 of the Alaska statutes.

INTERIM CITY MANAGER EMPLOYMENT AGREEMENT
This agreement approved by the City Council of the City of Seward, effective the
[DATE] is between the City of Seward, Alaska (“City”) and [NAME]. The City agrees
to employ [NAME] as interim City Manager. This agreement shall continue until such
time a permanent City Manager is hired unless terminated sooner as provided below.
This contract shall take effect immediately when all required signatures have been affixed
hereto and approved by the city council. Unless renewed, amended or replaced by a
successor contract before [DATE], this contract shall continue for a term of six (6)
months and end on [DATE]. The terms of this agreement are stated below.
RATE OF PAY AND TERMS OF AGREEMENT
[NAME] agrees to devote full time on behalf of the City and not engage in any other
business and have overall responsibility and authority designated under Seward city code
(SCC) 3.05.015.
[NAME] shall be paid at the rate of $7,500 per month, inclusive of any holidays during
this service.
[NAME] shall be an at-will employee of the city, but interim manager shall not be
entitled to benefits otherwise provided within the Seward city code including; annual
leave accrual, retirement benefits, city health and medical insurance, except and unless
such benefits are required by state or federal law.
[NAME] may compete for the position of regular city manager. If hired as regular city
manager, Corbridge shall receive credit for annual leave accrued retroactive to the date of
appointment to interim manager status, at a rate of 13 1/3 hours per month of service or
160 hours per year.
VEHICLE/MILEAGE
[NAME] shall be reimbursed by the City for use of his personal vehicle while traveling
on city business at the same rate as all other employees of the City. Reimbursement is
subject to standard city policy procedures and SCC 3.60.025. A city vehicle may be
provided in the alternative if approved by the city.
HOUSING/MOVING EXPENSES
[NAME] will secure housing within the city limits. The city of Seward agrees to pay
[NAME] a one-time sum of $5,000 for moving expenses in lieu of housing and per diem.
TERMINATION
Because of the peculiar nature of the City Manager position, it is agreed that the City’s
business can only succeed if the Interim City Manager and the City Council enjoy a
working relationship based on mutual respect, trust and positive attitudes. It may,

therefore, be impossible to quantify “poor performance” or “just cause” for termination
given these complexities which often involve personality factors as opposed to legal or
contractual factors. It is therefore the intent of the City, to provide for termination
without resort to any determination of cause, no pay-out of any kind, or any necessary
explanation by the City.
The city council reserves the right to terminate this agreement for any reason or for no
reason at any time by giving written notice of such termination to the interim manager
personally or by delivery to his or her office. Upon termination, interim manager shall be
promptly paid the amount of salary due for the month of said termination, and no further
payments to interim manager will be owed. Interim manager may terminate this
agreement by giving sixty (60) days written notice to the city council.
This agreement is the entire agreement and wherever approval of the City is required it is
understood that such approval will be by the City Council of the City of Seward. This
agreement supersedes any previous agreement and may be modified only in writing
signed by each of the parties. This agreement will be interpreted and enforced in Alaska
in accordance with the laws of the State of Alaska and is subject to all applicable Charter
and ordinance provisions of the City of Seward; provided that no provisions of Title 3 of
the Seward City Code shall apply except those provisions expressly identified above and
3.70 (drug & alcohol policy), 3.75 (sexual harassment policy), and 3.80 (workers
compensation).
