RESOLUTION 2003-23
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SEWARD,
ALASKA, APPROVING A TRANSFER AGREEMENT BETWEEN
WESLEY REHABILITATION AND CARE CENTER, INC AND THE CITY
OF SEWARD, APPROVING A LEASE AGREEMENT BETWEEN THE
CITY OF SEWARD AND WOMEN'S DIVISION OF THE BOARD OF
MINISTRIES OF THE UNITED METHODIST CHURCH AND
APPROVING A MANAGEMENT AND OPERATING AGREEMENT
BETWEEN THE CITY OF SEWARD AND PROVIDENCE HEALTH
SYSTEM - WASHINGTON, D/B/A PROVIDENCE HEALTH SYSTEM IN
ALASKA
WHEREAS, the City owns certain real property consisting of land and a hospital building
together with other improvements thereon (the "PSMC Property"); and
WHEREAS, adjacent to the PSMC Property, Wesley Rehabilitation and Care Center, Inc.
("Wesley") has operated a long-term care center on land owned by the Women's Division of the
Board of Global Ministries of the United Methodist Church ("Global"); and
WHEREAS, Providence Health System - Washington, d.b.a. Providence Health System in
Alaska ("Providence") has leased the PSMC Property and operated a hospital thereon since June 28,
1996 pursuant to a lease and operating agreement with the City; and
WHEREAS, the parties desire that the City lease the adjacent property from Global and lease
with an option to purchase the personal property and equipment that is now owned by Wesley and is
located on Global's property; and
WHEREAS, the City and Providence desire to enter into a management and operating
agreement whereby Providence shall operate and manage a hospital and long-term care center on the
PSMC Property and the adjacent Global-owned property; and
WHEREAS, the City and Providence desire to have the existing lease and operating
agreement terminate upon the effective date of a management and operating agreement.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF SEWARD, ALASKA, that:
Section 1. The City Council authorizes the City Manager to execute and deliver, in
substantially the form as attached hereto, the following agreements:

a. Transfer Agreement between Wesley Rehabilitation and Care Center, Inc. and the
City of Seward, Alaska and;
b. Lease Agreement between the City of Seward, Alaska and Women's Division of the
Board of Global Ministries of the United Methodist Church; and
c. Management and Operating Agreement between the City of Seward, Alaska and
Providence Health System - Washington, d.b.a. Providence Health System in Alaska..
Section 2. This Resolution shall take effect 30 days following its adoption.
PASSED AND APPROVED by the City Council of the City of Seward, Alaska this 10th
day of March, 2003.
