RESOLUTION 2003-042
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SEWARD,
ALASKA, AUTHORIZING THE CITY MANAGER TO ACCEPT
OWNERSHIP OF THE MARlCUL TURE TECHNICAL
CENTERlMARlCUL TURE PRODUCTION AND RESEARCH FACILITY
BUILDING AND FIXTURES ("FACILITY"), TO ENTER INTO A
SUBLEASE WITH THE UNIVERSITY OF ALASKA FOR THE LAND
AND FACILITY, AND TO ENTER INTO AN OPERATING AGREEMENT
WITH THE QUTEKCAK NATIVE TRIBE FOR OPERATION OF THE
FACILITY
WHEREAS, the City of Seward (the "City") leases land to the University of Alaska (the
"University") pursuant to a lease entered into through June 30, 2069; and
WHEREAS, the University with the City's consent subleased a portion of the land to the
Alaska Department ofFish and Game ("ADF&G") for the construction of a Mariculture Technical
Center and Mariculture Production and Research Facility ("Facility") and ADF&G constructed the
Facility on a portion of the land (such portion referred to herein as the "Land"); and
WHEREAS, ADF&G entered into an operating agreement with the City to operate the
Facility; and
WHEREAS, the City assigned the operations to the Qutekcak Native Tribe ("Qutekcak");
and
WHEREAS, the parties intend that the City should own the Facility, ADF&G desires to
terminate its sublease with the University and transfer ownership of the Facility to the City, the
University and the City desire to enter into a sublease for the Land and Facility, and the City and
Qutekcak desire to enter into an operating agreement for the Facility.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF SEWARD, ALASKA, that:
Section 1. The City Council authorizes the City Manager to execute and deliver the
following agreements in substantially the form as presented at this meeting
A. Lease Amendment No.3 between the City as Lessor and University as Lessee; and
B.
Agreement for Operating and Maintaining the Seward Mariculture Research Center

and Shellfish Hatchery between the City and Qutekcak; and
C. Sublease Termination and Property Transfer Agreement among ADF&G, the
University and the City; and
D. Sublease Agreement between the University as Sublessor and the City as Sublessee.
Section 2. This Resolution shall take effect 30 days following adoption.
PASSED AND APPROVED by the City Council of the City of Seward, Alaska this 28th
day of April, 2003.
