HomeMy WebLinkAboutRes1996-058 I I , Sponsored by: Garzini CITY OF SEWARD, ALASKA RESOLUTION NO. 96-058 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SEWARD, ALASKA, APPROPRIATING $75,000 TO SEWARD GENERAL HOSPITAL TO COVER THE COSTS OF PAYROLL, INSURANCE PREMIUMS AND OTHER OPERATING EXPENSES WHEREAS, because of continuing low use of city-owned medical facilities and delays in collections from insurance companies, Seward General Hospital is once again confronted with a serious cash flow problem; and WHEREAS, without assistance from the City, Seward General Hospital will be unable to meet this week's employee payroll or other accounts payable including insurance premiums which are currently overdue; and WHEREAS, it is in the public interest to provide the funds necessary to continue operations of the hospital until the voters decide on the medical facility's future at the May 21,1996, special election; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF SEWARD, ALASKA, that: Section 1. The amount of $75,000 is hereby transferred from the General Fund Fund Balance Account NO.IO\- 0000 - 305"0 to Seward General Hospital Transfer Account No. IO\-oOCO-3070-0301, and the City Manager is hereby authorized to immediately transfer these funds to the Hospital's account to cover the cost of payroll, insurance premiums and other operating expenses and to provide cash flow support for the remainder of Fiscal Year 1996. Section 2. This resolution shall take effect immediately upon its adoption. PASSED AND APPROVED by the City Council of the city of Seward, Alaska, this 17th day of April, 1996. ""'111"'" ;' I , , AGREEMENT FOR INITIATING STUDIES AND DESIGN OF THE PROVIDENCE SEWARD HEALTH CENTER This Agreement for Initiating Studies and Design of the Providence Seward Health Center (the "Agreement") is dated as of the day of 1996, and is entered into by and between the City of Seward, Alaska (hereinafter called "City"), and the Providence Alaska Medical Center (hereinafter called "PAMC"), a non-profit corporation. WHEREAS, the parties have conducted negotiations to establish terms of an alliance between the parties to lease, finance, construct, operate and maintain a new medical center facility to be known as the Providence Seward Health Center; and WHEREAS, both parties understand that a special election will be conducted by the City to approve general obligations bonds for the construction of the facility on May 21, 1996; and WHEREAS, both parties are aware that Alaskan construction seasons are limited by weather and seasonal conditions and consider time of the essence to begin construction project planning in order to complete the project by September, 1997; NOW, THEREFORE, IN CONSIDERATION OF THE PREMISES and of the mutual covenants herein set forth, the parties agree and covenant as follows: 1. PAMC TO SEEK CONTRACTORS 1.1 PAMC will immediately initiate recruitment and hiring of contractors to perform the following project construction-related services: 1.1.1 Geotechnical study of the Seward General Hospital property and surrounding terrain; 1.1.2 Phase I Environmental Study of the Seward General Hospital property owned by the City; 1.1.3 Architectural and design services for the Providence Seward Medical Center. 1.2 Contractors hired by PAMC will be directed to initiate studies and design activities associated with the construction of the project as addressed in the Terms and Conditions document previously approved by the City Council and the Providence Health Systems Board of Directors. 2. PARTIES TO ASSUME FISCAL LIABILITIES 2.1 The parties understand the contractor costs of these services are as described: Page two 2.1.1 Geotechnical study and the Phase I Environmental Study to cost an estimated $30,000; 2.1.2 Architectural and design services to cost an amount estimated at $70,000. 2.2 The parties further understand and agree that the following responsibilities will be assumed by each party relating to the outcome of the City's special election to be held in the City of Seward on May 21, 1996: 2.2.1 Upon approval of the general obligation bond proposition on May 21, 1996, PAMC will be awarded by the City the total costs of these services as specified in the Terms and Conditions document and the Lease & Operating Agreement between the City and PAMC. 2.2.2 Upon rejection of the general obligation bond proposition on May 21, 1996, (i) PAMC will bear the costs of the architectural and design services and (ii) the City will bear the costs of the geotechnical and environmental studies at a cost estimated at $30,000. 2.3 Upon rejection of the general obligation bond proposition, the architectural and design work of the proposed Providence Seward Medical Center will become the property of PAMC; the studies will become the property of the City. IN WITNESS WHEREOF, the parties hereto, in consideration of the mutual covenants set forth herein and intending to be legally bound, have caused this Agreement to be executed and delivered as of the date first written above.
