HomeMy WebLinkAboutRes1996-060 f I I Sponsored by: Garzini CITY OF SEWARD, ALASKA RESOLUTION NO. 96-060 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SEWARD, ALASKA, APPROVING A MEMORANDUM OF UNDERSTANDING TO SHOW SUPPORT FOR A CO-LOCATED VISITOR AND CONFERENCE FACILITY WHEREAS, the National Park Service, the US Forest Service, the Downtown Business Association and the Chamber of Commerce and Convention and Visitors Bureau have entered into a memorandum of understanding showing their support for a co-located visitor and conference center on the site that was originally set aside for the B Street Dock; and WHEREAS, this co-location would be of mutual benefit to all of the agencies involved; and WHEREAS, under this Memorandum of Understanding the City agrees to participate in the planning, provide for condominium ownership of the building and surrounding land, hold the proposed land exempt from any other development for the life of the agreement, and assist other agencies in seeking budget approval and funding to share the cost of construction and operation of the facility; and WHEREAS, the proposed FY 1997 budget contains funds designated for City participation in this project including $50,000 for schematic drawing and conceptual plans; and WHEREAS, City participation in the project will be dependent upon budget approval; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF SEWARD, ALASKA, that: Section 1. The Memorandum of Understanding for development of a co-located visitor and conference center is hereby approved. Section 2. A copy of the fully executed Memorandum of Understanding is attached and incorporated herein by reference. Section 3. This resolution shall take effect immediately upon its adoption. "1:" ...;",.... f I I MOU-9845-96-02 MEMORANDUM OF UNDERSTANDING BETWEEN SEWARD DOWNTOWN BUSINESS ASSOCIATION SEWARD CHAMBER OF COMMERCE AND CONVENTION AND VISITORS BUREAU CITY OF SEWARD ADNR, DIVISION OF PARKS AND RECREATION USDI NATIONAL PARK SERVICE, KENAI FJORDS NATIONAL PARK AND USDA FOREST SERVICE, CHUGACH NATIONAL FOREST THIS MEMORANDUM OF UNDERSTANDING is entered into by and between the Seward Downtown Business Association, the Seward Chamber of Commerce, and Convention and Visitors Bureau, the City of Seward, the Alaska Department of Natural Resources, Division of Parks and Outdoor Recreation, hereinafter referred to as Alaska State Parks, the U.S. Department of the Interior, National Park Service, Kenai Fjords National Park, hereinafter referred to as Kenai Fjords National Park, the U.S. Department of Agriculture Forest Service, Chugach National Forest, hereinafter referred to as Chugach National Forest. I. PURPOSE The purpose of the agreement is solely to document the mutual desires of the Seward Downtown Business Association, the Seward Chamber of Commerce, and Convention and Visitors Bureau, the City of Seward, Alaska State Parks, Kenai Fjords National Park and the Chugach National Forest to co-locate planned visitor, conference center, and administrative facilities into one cooperative facility. The facility as currently envisioned would include a visitor center, a conference center, and a multi-agency office complex on Lots 3 through 6, Block 10, Federal Addition to Seward, USS 1116; Lots 1 and 2, Block 11, Federal Addition to Seward, USS 1116; that portion of Tract A, USS 1116 located west of Ballaine Boulevard between the envisioned extensions of the A and C Street right of ways; the sixth Avenue right of way east of Block 10 extending to Block 11; the alley right of way west of Block ll;-and the B Street right of way between Blocks 10 and 11 as shown on attached Exhibit A. II. STATEMENT OF MUTUAL BENEFITS AND INTERESTS: All parties in this memorandum of understanding are involved in the business of public service and information dissemination. It is of mutual benefit and in the pUblics best interest that co- location of offices be given serious consideration. Expected benefits include improved customer service and convenience, cost savings in construction and operation, improved coordination in matters of mutual interest by all cooperating parties, and reduced land area need and related impacts. Future responsibilities and funding commitments providing for deposit of a monetary value, or specific work tasks will be determined by one or more separate agreements. In consideration of the above premises, the parties hereto agree as follows: III. SEWARD CHAMBER OF COMMERCE AND CONVENTION AND VISITORS BUREAU SHALL: 1. Participate as a member of the interagency planning committee; 2. Define the scope, size and criteria for the visitor/conference center portion of the facility and seek funding for same; 3. Assist other agencies in seeking budget approval and funding to share in the cost of the construction and operation of the visitor center and agency administrative offices portion of the facility. IV. SEWARD DOWNTOWN BUSINESS ASSOCIATION SHALL: l. Participate as a member of the interagency planning committee; 2. Define the scope, size and criteria for the visitor/conference center portion of the facility and seek funding for same; 3. Assist other agencies in seeking budget approval and funding to share in the cost of the construction and operation of the visitor center and agency administrative offices portion of the facility. V. CITY OF SEWARD SHALL: 1. Participate as a member of the interagency planning committee; 2. Complete a conceptual plan and schematic drawing of the envisioned facility, involving all parties as co-equals in the design review and recommendations used; 3. _ Provide for a condominium ownership structure of the land needed for these facilities; including buildings, landscaping, parking and other dedicated land uses. Sale price will be based on fair market value appraised price for the land as described under section I; 4. Agree to hold the land as described under Section I exempt from any other development during the duration of this Memorandum of Understanding; 5. Assist other agencies in seeking budget approval and funding to share in the cost of the construction and f I I operation of the visitor information and agency administrative offices portion of the facility. VI. ALASKA STATE PARKS SHALL: 1. participate as a member of the interagency planning committee: 2. Seek budget approval and funding to share in the cost of the design and fabrication of exhibits for the visitor center portion of the facility; 3. Define the scope, size and criteria for AK State Parks use of the facility. VII. KENAI FJORDS NATIONAL PARK SHALL: 1. participate as a member of the interagency planning committee; 2. Define the scope, size and criteria for Kenai Fjords National Park's use of the facility; 3. Seek budget approval and funding to share in the cost of the construction and operation of the visitor information and agency administrative offices portion of the facility; 4. Provide technical personnel for design and review coordination between all cooperators. Provide other technical personnel as appropriate throughout all phases of the project. VIII.CHUGACH NATIONAL FOREST SHALL: 1. participate as a member of the interagency planning committee; 2. Define the scope, size and criteria for Chugach National Forest's use of the facility; 3. Seek budget approval and funding for cost of the construction and operation of the Forest Service agency administration offices; 4. Seek budget approval and funding to share in the cost of construction and operation of a common reception area and/or to be a minor partner in the cost of construction and operation of a visitor center; 5. Seek to provide technical personnel for design work and review coordination between all cooperators. IX. REQUIRED CLAUSES: 1. Pursuant to Section 22, Title 41, united States Code, no member of, or Delegate to, Congress shall be admitted to any share or part of this instrument, or any benefits that may arise therefrom. 2. During the performance of this agreement, the participants agree to abide by the terms of Executive Order 11246 on nondiscrimination and will not discriminate against any person because of race, color, religion, sex or national origin. The participants will take affirmative action to ensure that applicants are employed without regard to their race, color, religion, sex, or national origin. X. IT IS MUTUALLY UNDERSTOOD AND AGREED UPON BY AND BETWEEN ALL PARTIES THAT: 1. Any party(ies), may, with 30 days notice, and in writing, terminate their interest and responsibility in the instrument in whole, or in part, at any time before the date of expiration. 2. This instrument in no way restricts any of the cooperators from participating in similar activities with other public or private agencies, organizations, and individuals. 3. That due to the uncertainty of future budgets, neither Kenai Fjords National Park nor Chugach National Forest is interested in a facility lease arrangement. 4. This instrument is executed as of the last date shown below and expires in two years, at which time it will be subject to review, renewal, or expiration. 5. This instrument is neither a fiscal nor a funds obligation document. Any endeavor involving reimbursement or contribution of funds between the parties to this instrument will be handled in t I I accordance with applicable laws, regulations, and procedures including those for Government procurement and printing. Such endeavors will be outlined in separate agreements that shall be made in writing by representatives of the parties and shall be independently authorized by appropriate statutory authority. This instrument does not provide such authority. Specifically, this instrument does not establish authority for noncompetitive award to the cooperator of any contract or other agreement. Any contract or agreement for training or other services must fully comply with all applicable requirements for competition. 7.
