RESOLUTION NO. 93-013
A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF SEWARD, ALASKA, APPROVING A PROFESSIONAL
SERVICES AGREEMENT WITH TYLER JONES TO PROVIDE
INTERIM CITY MANAGER SERVICES
WHEREAS, City Manager Darryl Schaefermeyer's last day of work for the city will
be January 31, 1993; and
WHEREAS, the city has not yet sought and found a replacement; and
WHEREAS, the city is in need of an Interim City Manager; and
WHEREAS, the City Council has solicited interested persons and the Alaska
Municipal League for available persons or firms to fulfill the duties of Interim City
Manager; and
WHEREAS, the City Council has interviewed Mr. Tyler Jones and has reached
agreement for his retention under the terms of a professional services agreement;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF SEWARD, ALASKA, that:
Section 1. The Mayor is authorized to execute, on behalf of the city, the
professional services agreement attached hereto as Exhibit A.
Section 2. This resolution shall take effect immediately upon its adoption,
although the professional services agreement shall be effective in accordance with its
terms.
PASSED AND APPROVED by the City Council of the city of Seward, Alaska, this
25th day of January, 1993.

PROFESSIONAL SERVICES AGREEMENT
INTERIM CITY MANAGER
This Agreement, approved by the Oty Council of the Oty of Seward on January
25,1993, by Resolution No. 93-013. is between the Oty of Seward, Alaska ("City'1 and
Tyler Jones, dba Marine Management Services, Suite 208, 911 West 8th Avenue,
Anchorage, Alaska 99501 ("Jones"). The Oty agrees to retain Jones as Interim City
Manager under the following terms and conditions.
1. Jones shall commence serving as Interim Oty Manager effective Febmary 1, 1993.
2 Jones shall be compensated on an hourly basis at a rate of $56.25 per hour for each
hour of service up to a maximum of 40 hours per week of compensation. Jones
shall account for time spent on behalf of the Oty. In exchange for work beyond
the 40 hours per week that is anticipated to be performed by Jones, Jones will be
entitled to an additional leave bonus of $2250.00 for the week commencing March
8, 1993.

Jones shall not be entitled to any health insurance, retirement, personal leave or
other personnel benefits afforded employees of the Oty and shall be considered
an independent contractor for all purposes.
4. Jones shall be reimbursed for living expenses in Seward up to a maximum of
$1,000 per month upon submission of receipts and other information to the Oty.
Living expenses shall include lodging, meals and incidentals. Jones shall be
entitled to an automobile allowance of $200 per month plus reimbursement for
travel on Oty business at $.28 per mile.
5. Jones shall devote full time on behalf of the Oty and shall not engage in any other
business activities.
6. During the week of January 25, 1993, Jones shall attempt to be reasonably available
for familiarization with the existing Oty Manager, Darryl Schaefermeyer, and shall
be compensated at the flat rate of $56.25 per hour. All other terms and conditions
of this agreement shall commence on Febmary 1,1993.
7. The City shall defend, indemnify and save Jones harmless for negligent acts or
omissions resulting from his performance of this agreement and within the scope
of duties as Interim City Manager.
8.
This agreement shall expire on April 30, 1993. This agreement may only be
modified in writing and by action of the Oty Council through Resolution or
motion.
