CITY OF SEWARD, ALASKA
RESOLUTION NO. 93-024
A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF SEWARD, ALASKA, AUTHORIZING THE CITY MANAGER
TO ENTER INTO AN AGREEMENT FOR THE SALE OF
THE GRAIN TERMINAL COMPONENTS
WHEREAS, The City of Seward purchased grain terminal components from the
State of Alaska in August, 1989; and
WHEREAS, there appears to be no reasonable local development option for grain
terminal components; and
WHEREAS, in October, 1991, the City of Seward decided to sell the grain terminal
components by sealed bid; and
WHEREAS, in November, 1991, the City prepared and published a request for
bids to dispose of the grain terminal components; and
WHEREAS, there were no responses from bidders for the grain terminal
components; and
WHEREAS, the City has received an option to purchase the grain terminal
components from Fernan Jaramillo, Jauribe Limitada; and
WHEREAS, Jauribe Limitada has made a good faith deposit of $10,000 to the City;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF SEWARD, ALASKA, that:
Section 1. The city manager is authorized to negotiate and sign an option
agreement with Jauribe Limitada.
Section 2. Northern Stevedoring will continue to store the grain terminal
components under the current contract with the City, and effective April 1, 1993, Jauribe
Limitada shall pay the City for all storage and related expenses of the equipment, at the
rate presently contracted.
Section 3. Jauribe Limitada will pay the balance of $400,000 with a 180-day
irrevocable letter of credit payable to the City of Seward to be opened on March 1, 1993,
confirmed through a major U. S. Bank.

Section 4. This resolution shall take effect immediately upon its adoption.
PASSED AND APPROVED by the City Council of the city of Seward, Alaska, this
22nd day of February, 1993.
