I r r Sponsored by: Garzini CITY OF SEWARD, ALASKA RESOLUTION NO. 97-109 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SEWARD, ALASKA, APPROVING A MEMORANDUM OF UNDERSTANDING FOR THE MULTI-AGENCY VISITORS CENTER REGARDING FINANCING AND CONSTRUCTION WHEREAS, The City of Seward, Seward Chamber of Commerce, U, S, National Park Service, U, S, Forest Service and the Downtown Business Association have previously entered into a memorandum of understanding to prepare the preliminary design for the proposed Multi-Agency Visitors Center to be located on City real property adjacent to Ballaine Boulevard, north of A Street; and WHEREAS, GDM Architects prepared the conceptual design which was approved by a committee of representatives from each of the above agencies except the Downtown Business Association; and WHEREAS, a memorandum of understanding has been prepared to document the continued mutual desires and activities off our of the agencies to obtain financing and to plan, design, construct and operate a cooperative, co-located visitor center, conference center and administrative facility; and NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF SEWARD, ALASKA, that: Section 1. The memorandum of understanding between the Seward Chamber of Commerce and Convention and Visitors Bureau; the City of Seward; Alaska Dept. Of Natural Resources, Division of Parks and Recreation; and the U, S, Department of the Interior, National Park Service, Kenai Fjords National Park, attached and incorporated herein by reference, is hereby approved, Section 2. The City Council hereby supports funding the City's $2,519 million share of this facility from the following sources, in order: I) sale of inessential properties with the balance to come from 2)a portion of the bed tax revenue, and, if necessary 3) a portion of the seasonal sales tax revenue stream, Section 3. I r , MOU-9845-97-03 MEMORANDUM OF UNDERSTANDING BETWEEN SEWARD CHAMBER OF COMMERCE AND CONVENTION AND VISITORS BUREAU CITY OF SEWARD ADNR, DIVISION OF PARKS AND RECREATION USDI NATIONAL PARK SERVICE, KENAI FJORDS NATIONAL PARK AND USDA FOREST SERVICE, CHUGACH NATIONAL FOREST THIS MEMORANDUM OF UNDERSTANDING is entered into by and between the Seward Chamber of Commerce and Convention and Visitors Bureau, the City of Seward, the Alaska Department of Natural Resources, Division of Parks and Outdoor Recreation, hereinafter referred to as Alaska State Parks, the US, Department of the Interior, National Park Service, Kenai Fjords National Park, hereinafter referred to as Kenai Fjords National Park, the US, Department of Agriculture Forest Service, Chugach National Forest, hereinafter referred to as Chugach National Forest. I. PURPOSE The purpose of the agreement is to document the continued mutual desires and activities of the Seward Chamber of Commerce, and Convention and Visitors Bureau, the City of Seward, Alaska State Parks, Kenai Fjords National Park and the Chugach National Forest to secure funding for and subsequently plan, design, construct and operate a cooperative, co-located visitor center, conference center, and administrative facility, The facility as currently envisioned would include a visitor center, a conference center, and a multi-agency office complex on Lots 14 through 20, Block 35 Original Townsite of Seward; Lots 3 through 6, Block 10 Federal Addition to Seward, USS 1116; Lots 1 and 2, Block 11, Federal Addition to Seward, USS 1116; that portion of Tract A, USS 1116 located westerly ofBallaine Boulevard, and easterly ofa northerly protraction of the west property line of Block 11 Federal Addition; the Sixth Avenue right of way north of A Street; the B Street right of way between Blocks 10 and 11 Federal Addition; and the alley right of way along the west side of Block 35 Original Townsite of Seward as shown on attached Exhibit A. Preliminary work on this project by all of the above parties resulted in a Multi-Agency Visitor F:lcilities Concept Planning and Design Study, completed by GDM, Inc. in February, 1997, which included the following: Project Program (Facility Goals, construction requirements, visitor/site/building design considerations, agency spatial needs, etc,) Concept Design (Including landscape, mechanical, electrical, materials, etc.) Site Photographs Concept Design Drawings Cost Analysis (Construction, 0 & M, shared facility analysis, etc,) II, STATEMENT OF MUTUAL BENEFITS AND INTERESTS: All parties in this memorandum of understanding are involved in the business of public service and information dissemination, It is of mutual benefit and in the publics best interest that co-location of offices be given continued serious consideration, Expected benefits include improved customer service and convenience, cost savings in construction and operation, improved coordination in matters of mutual interest by all cooperating parties, and reduced land area need and related impacts, In consideration of the above premises, the parties hereto agree as follows: III. SEWARD CHAMBER OF COMMERCE AND CONVENTION AND VISITORS BUREAU SHALL: ] , Participate as a member of the interagency planning committee; 2. Refine the scope, size and criteria for the visitor/conference center portion of the facility and seek funding for same; 3, Assist other agencies in seeking budget approval and funding to share in the cost of the construction and operation of the visitor center and agency administrative offices portion of the facility, IV, CITY OF SEWARD SHALL: 1, Participate as a member of the interagency planning committee; 2, Refine the scope, size and criteria for the visitor/conference center portion of the facility; 3, Provide for a condominium ownership structure of the land needed for these facilities; including buildings, landscaping, parking and other dedicated land uses, Sale or trade of this land will be based on fair market value appraised price for the land as described under Section I; 4, Agree to hold the land as described under Section I exempt from any other development during the duration of this Memorandum of Understanding; 5. Incorporate Design Study recommendations for lands east of Ballaine Ave, in any future planning for the Waterfront area; . I 6, 7. Secure funding for the City portions of the facility; Assist other agencies in seeking budget approval and funding to share in the cost of the construction and operation of the visitor infonnation and agency administrative offices portion of the facility, V. ALASKA STATE PARKS SHALL: I . Participate as a member of the interagency planning committee; 2, Secure funding to share in the cost of the design and fabrication of exhibits for the visitor center portion of the facility and for office space(s) for DNR employees; VI, KENAI FJORDS NATIONAL PARK SHALL: 1. Participate as a member of the interagency planning committee; 2, Refine the scope, size and criteria for the visitor/administrative portion of the facility; r 3. Secure funding for the NPS portion of the facility; 4, Provide technical personnel for design and review coordination between all cooperators, Provide other technical personnel as appropriate throughout all phases of the project, VII, CHUGACH NATIONAL FOREST SHALL: 1. Participate as a member of the interagency planning committee; 2, Refine the scope, size and criteria for the visitor/administrative portion of the facility; 3, Secure funding for the Forest Service portions of the facility; 4. Provide technical personnel for design and review coordination between all cooperators, Provide other technical personnel as appropriate throughout all phases of the project, VIII, REQUIRED CLAUSES: , 1. Pursuant to Section 22, Title 41, United States Code, no member of, or Delegate to, Congress shall be admitted to any share or part of this instrument, or any benefits that may arise therefrom, 2, During the performance of this agreement, the participants agree to abide by the terms of Executive Order 11246 on nondiscrimination and will not discriminate against any person because of race, color, religion, sex or national origin, The participants will take affirmative action to ensure that applicants are employed without regard to their race, color, religion, sex, or national origin, IX. IT IS MUTUALLY UNDERSTOOD AND AGREED UPON BY AND BETWEEN ALL PARTIES THAT: 1. Any party(ies), may, with 30 days notice, and in writing, terminate their interest and responsibility in the instrument in whole, or in part, at any time before the date of expiration, 2, This instrument in no way restricts any of the cooperators from participating in similar activities with other public or private agencies, organizations, and individuals, 3, That due to the uncertainty of future budgets, neither Kenai Fjords National Park nor Chugach National Forest is interested in a facility lease arrangement. 4, This instrument is executed as of the last date shown below and expires in three years, at which time it will be subject to review, renewal, or expiration, 5, The principal contacts and members of the interagency planning committee for this instrument are: Beverly Dunham, President Seward Chamber of Commerce P,O, Box 749 Seward, AK 99664 (907) 224-8051 Ron Garzini, City Mgr, City of Seward P,O. This instrument is neither a fiscal nor a funds obligation document. Any endeavor involving reimbursement or contribution of funds between the parties to this instrument will be handled in accordance with applicable laws, regulations, and procedures including those for Government procurement and printing, Such endeavors will be outlined in separate agreements that shall be made in writing by representatives of the parties and shall be independently authorized by appropriate statutory authority, This instrument does not provide such authority, Specifically, this instrument does not establish authority for noncompetitive award to the cooperator of any contract or other agreement, Any contract or agreement for training or other services must fully comply with all applicable requirements for competition, 7.
