RESOLUTION NO. 98-009
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SEWARD,
ALASKA, A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
SEWARD, ALASKA, AUTHORIZING A CONSENT AND WAIVER
AGREEMENT BETWEEN THE CITY OF SEWARD AND THE SEWARD
ASSOCIATION FOR THE ADVANCEMENT OF MARINE SCIENCE, TO
PERMIT SUBLEASING OF A PORTION OF THE SITE OF THE ALASKA
SEALIFE CENTER TO ALASKA HERITAGE TOURS, INC.
WHEREAS, the City and SAAMS made and entered into that certain Agreement for the
Financing, Lease, Construction, Operation and Maintenance of the Alaska SeaLife Center dated
April 28, 1995, as amended (the "Operating Lease"), pursuant to which the City leased certain real
property (the "Property") to SAAMS; and
WHEREAS, the City is leasing certain tidelands adjacent to the Property to Alaska Heritage
Tours, Inc. ("ARTI") so that ARTI may construct and operate a dock on those tidelands; and
WHEREAS, to obtain upland access to the tidelands where the dock will be located, ARTI
proposes to sublease a portion of the Property under a sublease agreement with SAAMS (the
"Sublease"); and
WHEREAS, it is in the best interest of the City to consent to the Sublease and to waive
certain provisions ofthe Operating Lease on the terms and conditions stated in the attached Consent
and Waiver Agreement; and
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF SEWARD, ALASKA, that:
Section 1. The Acting City Manager is hereby authorized to sign the attached Consent and
Waiver Agreement between the City of Seward and the Seward Association for the Advancement
of Marine Science, to permit subleasing of a portion of the site of the Alaska SeaLife Center to
Alaska Heritage Tours, Inc.
Section 2. This resolution shall take effect immediately upon its adoption.
PASSED AND APPROVED by the City Council of the city of Seward, Alaska, this 26th
day ofJanuary, 1998.
