CITY OF SEWARD, ALASKA
RESOLUTION NO. 98-082
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SEWARD,
ALASKA, APPROVING THE ASSIGNMENT OF THE CONTRACT FOR
THE COLLECTION AND DISPOSAL OF GARBAGE, RUBBISH AND
WASTE MATERIAL IN THE CITY OF SEWARD, ALASKA, FROM JASON
MACDONALD, DBA JASON ENTERPRISES, TO USA WASTE SERVICES,
INC.
WHEREAS, the City of Seward entered into a contract for the collection and disposal of
garbage, rubbish and waste material with Jason McDonald, d.b.a. Jason Enterprises on October 12,
1992; and
WHEREAS, this contract followed approval by the voters of Seward of a franchise
agreement for the collection and disposal of garbage and refuse and was to be in effect for five years
beginning January 1, 1993, with options to extend, upon satisfactory performance, for up to three
additional one-year terms; and
WHEREAS, the first ofthe one-year extensions was approved August II, 1997, extending
the contract until December 31, 1998; and
WHEREAS, Mr. McDonald and representatives of USA Waste Services, Inc. met with the
City Manager on June 4 and informed him that USA Waste was in the process of acquiring Jason
Enterprises; and
WHEREAS, the attached letter, which is a formal request for the assignment, is the outcome
of that meeting; and
WHEREAS, it is the desire of Mr. McDonald and USA Waste to transfer the current
contract as a part of the acquisition; and
WHEREAS, USA Waste is willing to accept the contract as is with all the existing terms and
conditions and no modifications to the price or conditions of service during the remaining term; and
WHEREAS, the Administration recommends the assignment of this contract:
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF SEWARD, ALASKA, that:

Section 1. The City Council hereby approves Resolution 98-082, approving the assignment,
and, authorizing the City Manager to sign the documents consenting to the assignment of the contract
for the Collection and Disposal of Garbage, Rubbish and Waste Material in the City of Seward,
Alaska, from Jason McDonald, d.b.a. Jason Enterprises, to USA Waste .Services, Inc.
Section 2. This resolution shall take effect immediately upon its adoption.
PASSED AND APPROVED by the City Council of the City of Seward, Alaska, this 22nd
day ofJune, 1998.
