AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF SEWARD, .
ALASKA, AMENDING SEWARD CITY CODE. 8.30.025 (a), WHIm'
EXTENDS THE DEADLINE FOR SEASONAL BUSINESS LICENSE
RENEWALS FROM APRIL 1 TO MAY 1 EACH CALENDAR YEAR
WHEREAS, members of the public have requested additional time to renew their seasonal
business licenses; and
WHEREAS, many seasonal business owners travel out of state for the winter and do not
receive their renewal notices on time or return to Alaska after April 1 , therefore ownerS have to pay..
an additional $30 late fee; and

WHEREAS, after discussing this item during the May 14, 2007 council meeting, council.
directed staffby unanimous consent to generate an ordinance implementing this change; and
WHEREAS, it is in the best interest of the city and public to extend the seasonal business
license renewal due date to May 1.
NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY
OF SEWARD, ALASKA that:

Agenda Item: Amending Tile 8.30.025(a), business licensing to change
the due date of a seasonal business license renewal from
April I to May I of each subsequent year.
BACKGROUND & mSTIFICATION:
Seward City Code, Section 8.30.025 (a), states that a seasonal business license operating during the
summer season, May I to September 30 only, shall file a renewal application no later than April I in
each subsequent year.
. Many seasonal businesses are gone in the winter months and do not receive their renewal notices or
return to Alaska until April or May. This causes many owners to react unfavorably to the late $30
fee since they have not even opened their businesses yet.
Business owners would be reassured to know they would have an extra month to renew their
business license. The public goodwill would more than outweigh the monetary value to the city,
which is by our calculations not more than $600.00.
INTENT: Past research of our business license code does not reveal any intent or reason this date
cannot be extended.
CONSISTENCY CHECKLIST: Where applicable, this agenda statement is consistent with the
Seward City Code, Charter, Comprehensive Plans, Land Use Plans, Strategic Plan and City Council
Rules of Procedures. .

RESOLUTION 2007-53
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SEWARD,
ALASKA, AUTHORIZING THE CITY MANAGER TO ENTER INTO AN
AGREEMENT WITH TlMERLINE EXCA V ATING,INCORPORATEDFOR
AN AMOUNT NOT-TO-EXCEED 577,850.00 TO ROMOYE.
APPROXIMATELY 15,000 CUBIC YARDS OF DEBRIS AT THE LOWELL
CREEK WATERFALL
WHEREAS, approximately 15,000 cubic yards of gravel debris is a directresult of the flood
that occurred October 6, 2006; and
WHEREAS, due to the proximity of critical City owned infrastructure such as a primary
sewage lift station, Sealife Center fresh water pump house and the Shell Fish Hatchery to the Lowell
Creek Waterfall, removal of this excess debris is a high priority; and
WHEREAS, in an effort to protect City infrastructure from lhe possibility of another flood
event at the Lowell Creek Waterfall, this debris removal project has been added to the FEMA Project
Worksheet; and ' .
WHEREAS, under S~iateconstruction-grants regulations (iSAAC73--:-0-w-{f)) a'conS1rllction
contract must go to the lowest responsive, responsible bidder unless the DCIiartment waives the
requirement; and
WHEREAS, the City of Seward will be reimbursed by FEMA for the costs of removing this
debris if we are in accordance with State regulations (18AAC73.020(f)). .
NOW, THEREFORE, BE IT RESOL YED BY Tl:IE CITY COUNCIL OF THE CITY
OF SEWARD, ALASKA that:
Section 1. The City Manager is hereby authorized to enter into an agreement, in substantial
form on behalf ofthe City as attached, with Timberline Excavating, Incorporated for an amount not-
to- exceed $77,850.00 for the removal of flood debris from the Lowell Creek Waterfall.
Section 2. If the City is in compliance with State regulations (18AAC73.020 (f)), the City of
Seward will be reimbursed by FEMA upon completion and submittal of appropriate documentation.
Section 3. This resolution will take effect immediately upon its adoption.

Lowell Creek Debris Removal

BACKGROUND & JUSTIFICATION:
The Lowell Creek Outfall has in excess of 15,000 cubic yards of debris (gravel) that needs to be
removed. The deposition of material is a result of the October 9~ 2006 flooding event. City staff, in
an effort to mitigate the immediate threat of another extreme flood event, included the Lowell Creek
Outfall debris removal in our Project Worksheets. Debris (gravel) that is not removed, prior to
another flood event, may compromise the City's ability to protect critical infrastructure in the outfall
vicinity. Those critical pieces ofinfrastructuIe include the City owned Shellfish Hatchery, the City's
primary sewage lift station and the City owned SeaLife Center fresh water pump house (newly
constructed-post flood). Any compromise of these structures could have grave opelational and! or
environmental consequences.
Staffdeveloped a genera.lscopeof work and issued an invitationto bid for the removal of the debris
on April 17, 2001. Four bids were received on, or before, the May 4,2007 deadline. All bid
submittals were complete and all bidders were considered responsive and responsible.
Seward City Code 6.10.230 may allow preference to be given to local bidders if their bid is within
the lesser of $5,000 or five percent of each other. However, Federal Regulations for this type of
grant prohibit the use of statutorily or administratively imposed in-State or local geographical
preferences in the evaluation of bid or proposals except in those cases where applicable Federal
statutes expressly .....nilAtP. or eooomage geographic preference. Since those m9ni1At~ do not exist,
local preference was not part of the invitation to bid. The lowest bidder for the debris removal is
Timberline Excavating, Incorporated @ $5.19 per cubic yard.

FISCAL NOTE:

The Contractor, for and in consideration of the payment or payments herein specified and agreed to by the City, hereby
covenants and agrees to furnish and deliver all the materials and to do and perform all the work and labor required in the

It is distinctly understood and agreed that no claim for additional work or materials, done or furnished by the Contractor

material not covered by this Contract, unless such work or materials is ordered in writing by the City. In no event shall the
City be liable for any materials furnished or used, or for any work, or labor done, unless the materials, work, or labor are
required by the Contract or on written order furnished by the City. Any such work or materials which may be done or
furnished by the Contractor without written order first being given shall be at the Contractor's own risk, cost, and expense
and the Contractor hereby covenants and agrees to make no claim for compensation for work or materials done or
furnished without such written order. In no event shall the Contractor incur any liability by reason of verbal directions or
instructions given by the City or Contracting Officer, nor will the City be liable for any material furnished or used, or for
any work or labor done, unless the materials. work, or labor are required by the Contract or on written Change Order first
. being given by the City.
The Contractor hereby agrees that the lump sum price set forth in his bid schedule is full compensation for furnishing all
equipment, material and labor which may be required in the prosecution and completion of the whole work to be done under this
contract, and in all respects to complete the Contract to the satisfaction of the City.
Notwithstanding the foregoing, payment under this Contract shall not exceed Seventy Seven Thousand Eieht Hundred
Ei.!h..Dollars ($77,850.00). This Contract amount shall cover the Lowell Creek Debris Removal work as described in the
request for proposal.
The Contractor further covenants and agrees that all materials shall be furnished and delivered and all work and labor shall
be done and performed, in every respect, with the proposal documents, Specification and Drawings, (and addenda thereto)
and Bid Schedule (with exceptions noted above);that the Contractor will abide by and perform all stipulations, covenants,
and agreements specified in those documents, all of which are by reference hereby made a part of the Contract, as to all
premises therein: and in case any materials or labor shall be rejected by the Contracting Officer as defective or unsuitable,

then the materials shall be remov_aced with other approved materials and the labor shall be done a new to the
. satisfaction of the City, on or befo .
It is further understood and agreed that in case of the failure on the part of the Contractor, for any reason, except within the,
written consent of the City, to complete the furnishing and delivery of materials and the doing and performance of the'
work before the aforesaid date, the City shall have the right to deduct from any money due or which may become due to
the Contractor, or ifno money shall be due, the City shall have the right to recover Three Hundred Dollars (S300.00) per
day for each calendar day elapsing between the time stipulated for the completion and the actual date of completion in
accordance with the terms hereof; such deduction to be made, or sum to be recovered, not as a penalty but as liquidated
damages. Provided, however, that upon receipt of written notice from the Contractor of the existence of causes over which
the Contractor has no control and which must delay the furnishing of materials or the completion of the work, the
Contracting Officer may, at his or her discretion, extend the period specified for the furnishing of materials 0( the
completion of the work, and in such case the Contractor shall become liable for liquidated damages for delays
commencing from the date on which the extended period eitpires. .
The bonds given by the Contractor in the sum Performance Bond, to secure the
proper compliance with the terms and provisions of this Contract, are submitted herewith and made a part hereof.
The Contractor further covenants and agrees that the entire construction will be done under the admiriistrationof, and to
the complete satisfaction of, the City subject to an inspection III all times and approval by any regulatorY agency of the
City of Seward, Kenai Peninsula Borough, State of Alaska or Federal Government of the United States of America, and in
accordance with the laws of the State of Alaska and the City of Seward. '
For the purposes of this Contract, Contracting Officer Means City Manager or any other person designated by the City
Manager. .
The Contractor is an independent contractor and not an employee or agent of the City.
Contract Documents shall have the meaning ascribed by the General Conditions of the Construction Contract, and include
but ate not limited to this Contract, the General Conditions of the Construction Contract, the Supplementary Conditions,
and the following listed documents:

RESOLUTION 2007-054
A RESOLUTION OF THE CITY COUNCIL OF. THE CITY OF SEWARD,
ALASI{A, APPROVING CHANGE ORDER #2 WITH HARMON
CONSTRUCTION AND APPROPRIATING ADDITIONAL FUNDING IN
THE AMOUNT OF $393,000 TO MAKE THE PROPER MODIFICATIONS
TO THE SEWARD COMMUNITY CENTER
WHEREAS, on February 18,2007, through resolution 2007-016, Council appropriated
$248,000 and entered into a contact with Hannon Construction to ~ove all stucco, replace all
windows, fur out building to accept new siding, insulate the exierior between furring strips, and
install new cement board lap siding; and .
WHEREAS, as the stucco removal process commenced, rotting on the exterior plywood
sheathing of the third floor was discovered; and
WHEREAS, it has been detennined that there is significant rot throughout the third story and
extensive rot in the elevator shaft; and
WHEREAS, the extent of damage was a shock to all involved; and
WHEREAS, the building is still functioning, however, due to safety concerns in the elevator
shaft, the elevator is out of service until the shaft is re-built; and
WHEREAS, modification entails mainly replacing all exterior sheathing, comer boards,
most of the sill plates, some insulation, replacing or modifying 50010 of the exterior wall studs, and
replacing the entire elevator shaft; and
WHEREAS, the work also includes re-running electrical wiring within the exterior walls;
and
WHEREAS, Seward City Code Sections 6.10.120(2) and 6.10.120(3) exempt the City from
the requirements of competitive procurement procedures where an emergency makes it unreasonable
to delay the purchase process in order to seek competitive bids. The status of the Seward
Community Center severely limits their ability to provide vital services and individuals in our
community are suffering from this unanticipated emergency; and
WBEREASt since this project is extremely difficult to scope due to so many elements being
out of view, Harmon Construction's fee is time and material, not-to-exceed, based solely on what is
known and anticipated at this time; and
WHEREAS, Charter Section 12.2 permits adopting emergency procurement procedures and
Seward City Code Section 6.10.115 provides certain exemptions from competitive procurement, and

WHEREAS, using the same contractor for the described work will allow the work to be
completed in the timeliest manner to meet the City's needs and those of the building occupants.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF SEWARD, ALASKA that:
Section 1. The City Council of the City of Seward, Alaska hereby appropriates 1m additional
$393,000 necessary to make modificatioris to the Seward Community Center, from the Genera1Fund
fund balance account no. 101-0000-3070-0667 to the Seward Community Center building account
no. 667-6672-5390.
Section 2. The Seward City Council hereby finds it in the public interest to. waive
competitive procurement requirements based on the recitals incorporated herein, and based on the
emergent nature and necessity of repairs to ensure the safe operation of the Community Center.
Section 3. The City Manager is authorized. to negotiate and execute a contract or contract
change orders consistent with this resolution.
Section 4. The above recitals are incorporated by this reference.
Section 5. This resolution shall take affect immediately upon its adoption.

BACKGROUND & JUSTIFICATION:
The Seward Community Center is a 3-story block building located at the northeast comer of Third
Avenue and Jefferson. The original project consisted of removing all of the stucco, replacing all
windows, fur out building to accept new siding, insulate the exterior between the furring strips, and
install new cement board lap siding. On February 18, 2007, through resolution 2007-016, Council
appropriated $248,000 and entered into a contract with Harmon Construction.
. The Seward Community Center is a 3-story building with the first two stories constructed with block
and a third story constructed oflumber framing. This third story addition and elevator assembly was.
a retrofit added in late 1980's. As the stucco removal process commenced, rotting on the exterior
plywood sheathing of the third floor was very quickly noticed. We have determined that there is
significant rot throughout the third story and extensive rot in the elevator shaft. We attribute the
rotting due to significant moisture infiltration that has most likely o.ccurred immediately after the
renovation in the 1980's.
Modifications entail mainly replacing all exterior sheathing, comer boards, most of the sill plates,
some insulation, replacing or modifying 50% of the exterior wall studs, and replacing the entire
elevator shaft. The work also includes re-running electrical wiring within the exterior walls. The
extent of damage was a shock to all involved.

The building is still functioning, however, due to safety concernS in the Clevator shaft; the elevator is '
out of service until the shaft is re-built. Administration is working diligently to plan and implement
this project and its changes safely and efficiently.
The status of the Seward Community Center severely limits their ability to provide vital services to
our community. Individuals in our community are suffering from this unanticipated emergency.
Charter Section 12.2 pennits adopting emergen~ procurement procedures and Seward City Code
Section 6.10.115 provides certain exemptions from competitive procUrement. Seward City Code
~6.1 0.120(2) and 6.10.120(3) exempt the City from the requirements of competitive procurement
procedures where an emergency makes it unreasonable to delay the purchase process in order to seek
competitive bids.
Our focus is to minimize as much disruption to the patrons of the facility as realisticauy possible.'
Both the Senior Center and Teen Youth Center have been veryunderstimdmg and most helpful to the
dilemma. This project is now a major remodel project.
The contractor uncovering the damage to be repaired is well positioned to make the necessary
repairs. Using the same contractor for the described work will allow the work to be completed in the
timeliest manner to meet the City's needs and those of the building occupants.
A change order to the project budget in the amount of $393,000 is required to do the following ,

This project is extremely difficult to scope at this time due to so many elements being out of view,
not allowing staff or the contractor to conduct a conclusive estimate. Harmon Construction's fee
above is not-to-exceed as part of this resolution. Harmon Construction's fee is time and material,
not-to-exceed, based solely on what we all know and anticipate at this time. If additional unforeseen
deficiencies are uncovered as a result of removing the sheathing that substantially changes the
dynamics of the scope, an additional change order will be brought before council. 'The advantage to

the City of this arrangement is there is a real chance that the additional work will go more efficiently
than anticipated, thus ultimately coming in below the original not-to-exceed fee.
The above fees include the prevailing wage rates that are inherent to municipal funded projects
mandated by the Little Davis Bacon Act.
The administration requests Council approval to appropriate additional funding in the amount of -
$393,000 to make the proper modificationS to the Seward Community Center.

Thank you for asking PDC Engineers to submit a fee of services to help the City of Seward repair the
Senior Center. The total fixed fee amounts to $8,451 and covers the following scope of work:
1. Develop structural construction documents for replacement of rotted sections of the exterior
wood wall, extension of the elevator shaft foundation to above grade, and a new elevator shaft.
2. Design will adhere to the 2003 Intemational Building Code as amendedby the City of Seward.
3. This fee is for Structural services only; Mechanical, Electrical, Architectural, and Civil design are
not included. We can certainly provide these services on an as-needed basis if necessary.
4. Construction documents include one full size.set.(22X34) and one half s~e set (11x17) of
structural drawings'with sheet specifications.

City Manag eport. City Manager PhiUip Oates thanked the council for their vote of
confidence in hiri for this position, and he promised to bring the appropriate infonnation

Seward Port and Commerce Advisory Board Report Chairperson Deborah Altenoatt
stated P ACAB met May 2,2007 for a regular meeting, and was pleased to have the new city manager
attend and introduce himself. It was the first meeting without their executive liaison Christy Terry,
and they missed her and thanked her for her service. P ACAB passed a resolution to continue looking
at the Andy Baker hydro tunnel project and notified it should be coming to the council agenda soon.

Oates stated there were two primary reasons for this amendment. The bond bank wanted to
confirm the city council's intent to use the existing 1 % hospital sales tax, and to also confirm that
. any fUture panty bonds would not be issued without prior consent from the Alaska Municipal Bond
bank. Both Oates and the Municipal Bond Bank understood you could not commit future council's
to this budget decision, but requested the good faith intent.

started kayaking in Resurrection Bay, and wanted him recognized for that.
Dunham agreed Magistrate Peck was the original kayaker. He congratulated QAP for their
quick paving this year, the Super Saturday clean-up crews, the military and Northern Edge, and
welcomedi:he Kayak Symposium back after ten years. He mentioned that high school graduation
was May 23,2007 and voiced opposition to doing away with the awards cony for it. He
wondered why Exit Glacier Road was still closed and wanted striping c ed quickly and
crosswalks on Third Avenue.
