RESOLUTION 2009-020
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SEWARD,
ALASKA, AUTHORIZING THE CITY MANAGER TO ENTER INTO A
CONTRACT WITH HARMON CONSTRUCTION FOR THE
CONSTRUCTION OF THE ADAMS STREET WATERFRONT PAVILION
FOR $312,000, PLUS AUTHORIZING ADDITIONAL PROJECT-RELATED
COSTS OF $33,000, AND APPROPRIATING FUNDS
WHEREAS, the Seward community has been eager to replace the Wellington pavilion and
Adams Street pavilion which were demolished in 2003 after an engineering assessment determined
the two structures were overstressed and posed a potential hazard to the public; and
WHEREAS, the pavilion design was modeled after the historic Seward Depot located along
Railway Avenue and Fourth Street and the concept was approved by the City Council on June 26,
2006 by Resolution 2006-09; and
WHEREAS, a bid for construction for new ocean side pavilions to replace the structures at
both Adams Street and Ballaiue and D Street and Ballaine was advertised on July 13, 2006 and again
on July 20, 2006 in both the Anchorage Daily News and the Seward Phoenix Log; and
WHEREAS, thirteen bid packages were sent out and one bid was submitted on August 10,
2006 by Swenson Construction, which is the former business name for the entity currently doing
business as Harmon Construction; and
WHEREAS, on December 11, 2006 Resolution 2006-98 authorizing the City Manager to
enter into a contract with Swenson Construction for the construction of one waterfront pavilion in an
amount not to exceed $397,000 and appropriating funds was postponed indefinitely; and
WHEREAS, on February 2Q 2009 Harmon Construction has submitted a revised proposal to
the City for value engineering the Adams Street pavilion which maintains the overall appearance of
the pavilion much the same as the original bid submitted in August 2006; and
WHEREAS, working with City staff, value engineering the project and with the help of
volunteers provided by the City, Harmon Construction has substantially reduced the cost of the
Adams Street pavilion; and
WHEREAS, landscaping, painting, installation of bench and picnic tables, rock facade on
barbeque, handicap walkway and other work will be completed by volunteers, staff and City of
Seward equipment; and

WHEREAS, on March 23, 2009 Council passed Resolution 2009-016, Authorizing the City
Manager to Negotiate a Contract with Harmon Construction for the Construction of the Adams
Street Waterfront Pavilion for $312,000, Plus Authorizing Additional Project Related Costs of
$33,000, and Appropriating Funds; and
WHEREAS, the City of Seward has $195,000 from the State of Alaska and a written
commitrnent of $150,000 from the Alaska SeaLife Center Waterfront Development Fund contingent
on public involvement to build the pavilion; and
WHEREAS, there is a contingency of $7,000 for electrical work and if implemented will
come out of the $33,000 designated for additional project-related costs.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF SEWARD, ALASKA, that:
Section 1. The City Manager is hereby authorized to enter into a contract with Hannon
Construction for the construction the Adams Street waterfront pavilion in the amount of $3l 2,000.
Section 2. The City Council hereby authorizes an additional expenditure of $33,000 which
can be used for the purchase of materials, supplies, volunteer insurance, utilities, and other costs
associated with the pavilion project, to include possible change orders to the contract with Harmon
Construction, which must be approved in advance at the sole discretion of the City Manager.
Section 3. Funding in the amount of $345,000 is hereby appropriated as follows: 1)
$195,000 from State grant funds account no. 8l 1-8110-4680-0200; and 2) $150,000 from Other
grant funds account no.811-8110-4680-0900 to account for proceeds from a grant from the Alaska
Sealife Center, for a total of $345,000 in project costs allocated as follows: 3) $312,000 to
infrastructure account no. 811-8110-5925; and $33,000 to materials and supplies and contracted
services account no. 811-81 ] 0-5440/5390 for materials and labor.
Section 4. This resolution shall take effect immediately upon its adoption.

On March 23, 2009 Council approved Resolution 2009-016, Authorizing the City Manager to
Negotiate a Contract with Harmon Construction for the Construction of the Adams Street Waterfront
Pavilion for $312,000, Plus Authorizing Additional ProjecC-Related Costs of $33,000, and
Appropriating Funds.
Harmon Construction had submitted a final proposal of $312,000 which incorporates volunteers'
assistance, provided by the City, in the build. Volunteers will be utilized for tasks such as painting
of the T&G boards for the ceiling, the trim around the walls/windows, and pre-installation of
structural members. Other areas for volunteer assistance are brick work for the fireplace, picnic
tables, electrical work for interior lights and landscaping.
The City of Seward has $195,000 from the State of Alaska and a written commitment of $150,000
from the Alaska SeaLife Center Waterfront Development Fund contingent on public involvement to
build the pavilion (see attached email). The $33,000 designated for additional project-related costs
can be used for the purchase of materials, supplies, volunteer insurance, utilities, and other costs
associated with the pavilion project, to include possible change orders to the contract with Harmon
Construction, which must be approved in advance at the sole discretion of the City Manager.
The Contractor covenants and agrees that its work on the project will be substantially completed on
or before:.luly 2, 2009. The Contractor further covenants and agrees that all materials shall be
furnished and delivered and all work and labor shall be done and performed, in every respect, to the
satisfaction of the City, on or before: July 17, 2009.

Agenda Item: Authorize the City Mattaber to enter into a contract

In 2003, an engineering assessment was conducted determining that the two original pavilions
were overstressed and posed a potential hazard to the public. As a result of the study, the two
well used structures were demolished.
In 2006, Kumin and Associates was contracted to design a pavilion for the Adam's Street site.
On March 30, 2006, a public input design meeting was held and the design approved by Council
was based on the existing Seward Depot and other criteria were added such as wind screening.

An initial bid for construction was advertised vn July 13, 2006. Swenson Construction's, original
bid to construct one pavilion was $486,000.
This price was higher than anticipated which led to negotiations with the only bidder to modify the
proposal Harnon Construction returned a new proposal of$377,011(1 resulting in an over $100,000
reduction from the original proposal. At the December l 1, 2006 Council meeting, Resolution 2006-
98 authorizing the City Manager to enter into a contract with Swenson Construction for the
construction ofonc waterfi-ont pavilion i~ an amount not to exceed $397,000 and appropriating funds
was postponed indefinitely
During this time, statl`•prioritics became focused on high priority projects (i. e. the Long Tenn Care
Facility) and there was a reduction in staffing which resulted in this project falling through the cracks.
The Building Department has been directed by the City Manager to bring this project to fruition.
The Building Department contacted the original and only proposer Harnon Construction ii January
of 2009 with direction to conduct an updated value engineering proposal regardiig the pavilion
project.

Harmon Construction has submitted a final proposal of 312 OOQ which incorporates volunteers'

This is the information and motion that was made at the October meeting regarding the pavilion plan.
A. Oity of Seward Waterfront f~avilion Plan
Phillip Oates distributed a copy of the currently approved plans for the rebuilding of the
Adams Street Pavilion. He explained the City has set aside $195K towards the total
construction costs, and was requesting the Board to approve a motion for the ASLC to
provide a matching amount of the Waterfront monies. Tom Tougas added his comments
about the imparEance of the rebuild to be a community project, and there vas a discussion
of the expenditure.

designate funds tc the City.

CITY OF SEWARD, ALASKA
CONSTRUCTION CONTRACT
ADAMS STREET WATERFRONT PAVILION
This CONTRACT ("Contract"), between the City of Seward, Alaska, herein called the City,
acting by and through its City Manager, and
Hannon Construction, Inc.
P.O. Box 1650 Seward, Alaska 99664
A corporation incorporated under the laws of the State of Alaska, its successors and assigns,
herein called the Contractor, is effective the date of the signature of the City Manager on this
document.
The Contractor, for and in consideration of the payment or payments herein specified and agreed
to by the City, hereby covenants and agrees to furnish and deliver all the materials and to do and
perform all the work and labor required in the construction of the above-referenced project as bid
by the Contractor, which bid and prices named, together with the Contract Documents (as
hereinafter defined) are made a part of this Contract and accepted as such. It is distinctly
understood and agreed that no claim for additional work or materials, done or furnished by the
Contractor and not specifically herein provided for, will be allowed by the City, nor shall the
Contractor do any work or furnish any material not covered by this Contract, unless such work or
materials is ordered in writing by the City. In no event shall the City be liable for any materials
furnished or used, or for any work or labor done, unless the materials, work, or labor are required
by the Contract or on written order furnished by the City. Any such work or materials which
may be done or furnished by the Contractor without written order first being given shall be at the
Contractor's own risk, cost, and expense and the Contractor hereby covenants and agrees to
make no claim for compensation for work or materials done or furnished without such written
order.
The bid amount accepted by the City is $312,000, payable in the manner set forth in the General
Conditions. The Contractor agrees that this lump sum price is full compensation for finishing all
equipment, material and labor that may be required for all work to be done under this Contract.
The Contractor covenants and agrees that its work on the project will be substantially completed
on or before: July 2, 2009. The Contractor further covenants and agrees that all materials shall
be furnished and delivered and all work and labor shall be done and performed, in every respect,
to the satisfaction of the City, on or before: July 17, 2009. It is expressly understood and agreed
that in case of the failure on the part of the Contractor, for any reason, except with the written
consent of the City, to complete the furnishing and delivery of materials and the doing and
performance of the work before the aforesaid date, the City shall have the right to deduct from
any money due or which may become due the Contractor. However, Contractor will not be
liable for any delays caused by the City or volunteers managed by the City.
The Contractor further covenants and agrees that the entire construction will be done under the
administration of and to the complete satisfaction of the City subject to the inspection at all times
and approval by any regulatory agency of the Local, State, or Federal Government of the United
States of America, and in accordance with the laws of the State of Alaska and the City of
Seward.
For purposes of this Contract, Contracting Officer means Phillip Oates, or any other person
designated by the City Manager.
The scope of work as described in the July 13, 2006 bid documents is modified by subsequent
changes reflected by Contractor's proposals dated September 13, 2006 and February 20, 2009.
Other Modifications include asphalt shingles instead of cedar shakes, standard foundation system
instead of individual footings, and a standard truss system instead of heavy timber roof system.
The City of Seward will supervise and coordinate volunteer labor to provide the installation of
the bench and picnic tables, rock facade on the barbecue, ADA walkway, sign, painting and final
site work such as raking, shoveling, sod, planting trees, etc. Work being conducted by
volunteers and City employees will be completed within the allotted time frames submitted to the
City by the Contractor.
The Contractor is an independent contractor and not an employee or agent of the City.
Contract Documents shall have the meaning ascribed by the General Conditions of the
Construction Contract, and include but are not limited to this Contract, the General Conditions of
the Construction Contract, and the following listed documents:
(1) Resolution 2009-020; (2) Contractor's proposal dated August 10, 2006 as modified by the
proposals dated September 13, 2006 and February 20, 2009; and (3) Bid Documents dated July
13, 2006 including addendum.
IN WITNESS WHEREOF the parties hereto have executed this Contract and agree to its terms
and conditions.

PAINT. THE COST WILL BE $45AU PER HOUR AT OUR SHOP AND $80.00 PER HOUR ON THE JOB
